The team had built an AI agent to handle Cathy’s tasks. Her retirement created the moment to ask whether the role itself still needed to be replaced.

Since my $160K mistake, I use one rule before any replacement request goes to finance:

Split the role three ways.
➡️ Stop: Work that exists because it always has.
➡️ Automate: Structured, repeatable tasks.
➡️ Keep: Judgement and relationships that still need a person.

A resignation should not automatically trigger a replacement.
It should trigger a review of the work.

You deploy it, you own it

In the last 7 weeks I’ve watched three Australian organisations deploy AI agents into live customer-facing processes before anyone defined who owns the outcome. The tech went live on a Friday. By Monday, leadership was asking who approved it.

I've said this before - agents need an owner, and they're going to be on the org chart. Last year I made the case: the org chart shift in September, and agent accountability in the boardroom in November.

Salesforce is the clearest public example of doing this right - over 300 agents now operate inside the business - but the pattern I’m seeing is the same in mid-market companies a fraction of that size.

In my conversation with Leandro Perez, Salesforce’s Senior Vice President and Chief Marketing Officer for Australia and New Zealand, he said every one of those agents is managed by an individual or team.

Leandro also shared a comment from Salesforce’s CEO: this may be the last generation of managers who only manage people.

That shift is already visible in live work. Agents are contacting prospects, answering customer questions and moving information through internal workflows. The manager’s responsibility now extends to the job the agent performs, the authority it carries and the consequences of its output.

The agent goes live before the business has defined its job, owner, authority, success metric, supervision, escalation path or the workflow that changes around it.

The board sees tools, pilots and agents in production. The P&L may still see very little.

Old approvals remain. People check the increased volume. Exceptions return to the same teams. Time savings disappear into review and rework because nobody decided which work should stop or where the released capacity should go.

The agent can be live while the organisation remains unprepared to carry the result.

A live agent can still be unmanaged

Leandro described an earlier Salesforce website agent that could follow up with customers at any hour.

It started contacting people on weekends and outside normal working hours. The agent followed the instruction it had been given, but the job lacked the timing boundaries and customer-contact conditions normally attached to sales work.

Salesforce changed the operating rules so it behaved within normal working hours.

A person entering a sales role usually receives a territory, working hours, approval limits, expected conduct, measures and a manager. An agent entering the same workflow needs the same level of operating clarity.

Deployment only proves that the technology can perform a task. It does not prove that the business has defined how the task should be performed inside a live customer relationship.

The exposure increases with the agent’s authority.

An agent researching accounts creates one level of risk. An agent sending messages, updating customer records or making an offer creates another. The manager needs to know which actions are permitted, which require approval and which conditions should stop the workflow.

That becomes more important when the agent can repeat an instruction across thousands of interactions. A small gap in the job definition can become live customer behaviour before anyone reviews it.

The management job continues after launch. Someone has to inspect outputs, review exceptions, adjust instructions and decide when a person must step in.

Without that ownership, the agent can create more work than it removes. Every approval stays. Every exception returns to the same people. Managers inherit a larger queue and higher output while review and rework absorb the capacity the agent was supposed to release.

Bad information becomes live work

Salesforce found another management problem inside customer support.

Leandro said its support agent surfaced knowledge articles that had not been reviewed for years. Some remained untouched for as long as 20 years and contained outdated product information.

The information problem already existed. The agent applied it to current customer work at greater speed.

Salesforce initially treated the support agent largely as an IT project. Support engineers were later given greater control because they understood the customer questions, product history, language and exceptions well enough to see where its answers failed.

That operating detail matters.

Technology teams can manage architecture, access, security and technical controls. They cannot determine every customer exception, identify every outdated article or judge whether an apparently correct answer will hold up in the work.

Domain experts need to remain close to the agent after launch. They improve the instructions, review the source material and identify the exceptions that technical monitoring will miss.

The information also needs an owner. When a policy changes, a product is withdrawn or an exception becomes common, someone has to update the source and test how the agent behaves afterwards.

Otherwise, an organisation can keep improving the agent while leaving the underlying information failure in place.

Ownership follows the job

Technology should own the architecture, permissions, security and technical controls.

The business owner defines the job and carries the result.

Domain experts improve the source material, instructions and exception handling. One named manager owns supervision and escalation.

For a prospecting agent, the sales leader owns the pipeline result and the customer-contact conditions. For a support agent, the service leader owns resolution quality, customer impact and cost-to-serve.

Technology can confirm that the agent is available, secure and completing tasks as designed. The business may still be seeing poor conversion, repeat contacts, unnecessary reviews or no reduction in cost.

Both views can be accurate. One manager has to bring them together and make the operating decision: change the instruction, narrow the authority, fix the workflow or keep the agent out of production.

Executive ownership sits above that manager. Someone still has to decide which work stops, which approvals change and where released capacity goes.

Leaving every handoff in place gives the agent more opportunities to produce output without changing the economics of the workflow.

Agents expose weak metrics

Leandro explained that Salesforce also had to reconsider how it measured agent performance.

A human sales team has limited working hours. Measures such as conversations started, follow-ups sent and time spent engaging prospects can provide some indication of effort within that constraint.

An always-on agent changes the constraint. It can begin more conversations, send more follow-ups and remain active for longer without improving the commercial result.

Activity becomes easier to produce, so it becomes weaker evidence of value.

In sales, outreach volume needs to connect to qualified pipeline, conversion, revenue or selling time released.

In service, conversation volume needs to connect to resolution quality, customer satisfaction, repeat contact or cost-to-serve.

Inside an internal workflow, document volume needs to connect to cycle time, rework, cost or capacity moved into a named priority.

An agent can outperform its activity target while creating more work for people to check through the same approvals and handoffs.

The baseline is part of the management system. If the organisation does not know the current conversion rate, resolution quality, cycle time, rework or cost, higher activity can look persuasive because there is no commercial measure beside it.

The manager needs a before-and-after view tied to the job and workflow the agent changed.

AI Operating Readiness Test

The AI Operating Readiness Test is designed for one live agent or pilot. It checks whether the management conditions around the work are strong enough for controlled production.

Use the score interpretation printed on the asset.

A weak score means the operating conditions remain unclear. Keep the agent in pilot while the job, owner, authority, metric, supervision, escalation path or surrounding workflow still depends on assumption.

Run the test against observed behaviour from the pilot. Use actual outputs, exceptions, approvals and customer impacts. The owner should be able to explain the result without handing the question back to the project team or vendor.

Two checks still sit around the test.

First, confirm that the information available to the agent is current, approved and suitable for the job.

Second, name where any released human capacity will go. Hours saved without a destination tend to disappear into more checking, meetings and unresolved work.

Run the test

Before your next steering committee, pick one live agent or pilot and run the test. Keep it in pilot when any of the seven answers remains unclear. Move it into controlled production once one accountable manager can give a plain answer to all seven.

I ran into GPT-3 almost by accident in 2020. I had just moved to Queensland for a director role when COVID hit. We were down 50% headcount, under a hiring freeze, and facing a shrinking market. The number still had to be delivered.

Our first real use was market qualification and business development. A rep showed me the output. We had generated $1.2M in revenue from a segment we had never cracked. That year the business grew 160%.

Six weeks after we rolled the same approach across the sales floor, lead volume increased fivefold. The team slowed down. Leads were queuing for manager approval. AI had increased volume at the front of the process. The approval path had not changed.

We rebuilt the workflow the next day. Three steps were removed. Two were automated. The manager moved from approving every lead to coaching reps on the opportunities that were converting. Cycle time dropped 60%. Conversion recovered.

The same capability created $1.2M in revenue and later created a larger queue. The workflow determined the result.

Six years later, AI runs through almost every serious part of my work: research, commercial analysis, content, systems, decisions and execution.

Five disciplines consistently produce the strongest results.

Why generic output keeps appearing

Generic output usually comes from three gaps:

• The task has been named without a clear outcome

• The model has too little business context

• Nobody has defined what success or failure looks like

A team asks for “a strategy”, “better content” or “a more executive response”. The model fills the gaps with the most common patterns from its training data. The result can look polished, but it often belongs to any executive in any company.

What does not change

An LLM is a pattern-matching engine. It predicts the most likely useful continuation of the tokens you give it, based on its training and the information in your prompt.

It does not understand your business. It has no taste, no judgment, and no skin in the game. It cannot feel the cost of being wrong.

That is why better models alone rarely solve the problem. They get better at following weak instructions. They still need you to define the purpose, supply the relevant context, apply judgement, and own the outcome.

The five disciplines organise that division of work.

1. Define the outcome with brutal clarity

Vague requests are the fastest way to get generic output.

When you ask for “a strategy” or “review this proposal”, the model fills the gaps with the most common patterns from its training data.

The single highest-leverage move is to define the outcome so clearly that the model has almost no room to guess.

For any important piece of work, get explicit on three things:

• What exact decision or action this must drive

• Who must be able to act on it and what they need to understand or feel

• What would make the output completely unusable

Example:
Determine whether this proposal is ready for executive approval. Test the commercial assumptions, implementation ownership, and evidence of value. Separate established facts from forecasts. Recommend: Approve, Revise, or Stop.

If you cannot write the outcome clearly enough that success or failure can be verified in two sentences, the brief is still too vague.

The model has no understanding of your business or standards. It will default to the most common patterns it has seen before. Extreme clarity on the outcome is the only way to stop it.

2. Load the right context

Vague context forces the model to default to the statistical average of everything it has seen before. An executive works with specific, often unspoken knowledge: past board pushback, real operational constraints, risk tolerances, and which numbers actually move the P&L.

The model cannot access any of that unless you make it explicit.

For high-stakes work, load context in five categories:

• Commercial pressure: Current budget constraints, margin targets, and P&L priorities

• Decision history: What has already been approved, rejected, or left open

• Audience reality: Who will read or act on this and what they already know or believe

• Operating constraints: The workflows, systems, and bottlenecks that will deliver the outcome

• Evidence rules: Approved data sources, strict boundaries, and confidentiality requirements

Store your core operating context once at the workspace level. Add workstream-specific context inside the relevant project. Attach task-specific facts directly to the brief.

Before the model starts drafting, instruct it to review these files and ask three clarifying questions. This surfaces hidden assumptions before you invest time correcting a weak first pass.

3. Structure the execution

Complex work usually contains several separate jobs: research, challenge, synthesis, and drafting. Dumping all of them into a single prompt forces the model to handle everything at once. It will often move to polished writing before the underlying logic is solid. That is why weak assumptions frequently survive into the final output.

Break the task into four explicit stages before any formatting begins:

• Understand: Extract the objective facts and list the real operating variables.

• Test: Act as a hostile auditor. Surface gaps, optimistic forecasts, and weak assumptions.

• Decide: Form the core recommendation, list the rejected options, and state the confidence level.

• Communicate: Turn the isolated decision into the required format (board paper, email, framework, etc.).

This creates a clear checkpoint. You can review and correct the reasoning before a flawed assumption is carried into the final asset.

4. Apply sharp human feedback

The first output is only raw material. Real value is added when you remove specific defects.

Vague commands achieve nothing.

“Make it better” gives no direction.
“Make it more executive” produces corporate language.
“Make it punchier” breaks flow into awkward fragments.

Effective feedback names the exact defect and tells the model what to keep, cut, and strengthen.

Use this structure:

The core recommendation is sound. The introduction spends too long on background. Lead with the decision. Keep the commercial evidence. Remove the generic context. Expand the two assumptions that could change the outcome. Do not add alternative options.

Review every important draft against three questions:

• Did the model make a clear call, or only organise information?

• Does the certainty match the strength of the evidence?

• Is the commercial consequence stated clearly?

One focused round should remove most structural defects. Repeated prompts to fix voice or logic mean the original outcome or context was not clear enough.

5. Make the final decision and reallocate the capacity

The model can research, test, and recommend. Only the executive owns the consequence.

Before release, run the final gate:

• Is the content factually, legally, and reputationally sound?

• Does the evidence support the certainty in the language?

• Would I put my name on this?

Once quality is locked, redirect the time saved. If the method frees 10–12 hours per week, move that capacity into higher-value work such as customer relationships, negotiation, or decisions previously too slow to attempt. Do not let it disappear into more meetings.

The limitation

AI performance varies sharply by task. Confident language gives little warning when the model is outside its reliable range.

Public statements, legal interpretations, customer commitments, and capital decisions still require source verification and named human approval. Accountability always stays with the executive.

Before Friday

Pick one live piece of work with real commercial, customer, or operational weight.

Write the outcome in one paragraph. Load the five context blocks. Run it through Understand, Test, Decide, and Communicate. Record the change in time, assumptions surfaced, decision quality, and verification effort.

Name where the released capacity will go.

By the end of the week you will have one completed high-value asset, a reusable brief, and a clear decision on whether to scale the method.

Every board I reviewed this year approved the AI build, but conservatively, fewer than 30% budgeted for the compliance work required to reach the deadline.

The OAIC’s already sweeping about 60 organisations across six sectors, and the Australian Shareholders’ Association is calling for clearer board oversight of AI and cyber risk at AGM season. Weak oversight is part of the conversation.

Boards are facing a perfect storm this cycle: an upcoming penalty deadline, a budget that backed the AI build but not the compliance, and heightened shareholder scrutiny leading up to re-election.

Months before the Fable shutdown, I told clients to simplify. The models were becoming powerful enough for governments to control access, and access would stop being something “everyone” had access to…..at the time, that sounded like a stretch.

In June, that changed.

The US government applied export controls to Anthropic’s Fable 5 and Mythos 5 - Anthropic removed access globally. The capability was sensitive enough for the government to decide who could use it. The block lasted nearly three weeks. Any team with the model embedded in a workflow had no warning or migration window.

Standardising on one supplier is disciplined only if access & value stays stable. The more useful the model becomes, the more exposure the business carries. These are two things you cannot depend on - AI development is moving faster than we can plan.

One supplier carries three prices

1) Margin: You pay frontier rates on work that never needed a frontier model: formatting supplier addresses, first-pass invoice extraction, routing inbound email, summarising internal calls.

A Melbourne CFO showed me a $99,500 annual AI projection earlier this year. Twenty minutes after we mapped the actual workflows, the same output came in under $10,000. They had defaulted to the best model for everything because they treated the “best” model as the default.

2) Continuity: When your operating model runs on one supplier, you do not fully control the workflow your revenue depends on. The Fable 5 shutdown is the latest example. Orgs had unintentionally built a single point of failure. With one supplier, the buyer carries price changes, outages and policy decisions outside their control.

3) Control: Your company can own its data and still lose control of the workflow built around it. When one supplier controls the model, the access terms, the pricing and the practical cost of switching, your options are limited.

Test whether you can move the workflow without breaking cost, service, governance or speed. Single-supplier dependence also weakens your negotiating position - a vendor who knows you cannot leave has no reason to hold pricing.

There are also some great options out there that aren’t exactly ‘top of mind’ but are right on the frontier. I’ve been using Chinese models like DeepSeek and GLM 5.2 for the past year. Honestly, I can’t tell the difference on most tasks- some even perform better, and at up to 10% of the cost. If you haven’t checked them out yet, links are below.

One caveat: I run these on non-sensitive work. If a workflow touches customer, regulated or confidential data, run it through the gate below before you route anything offshore.

Standardising still works below the threshold

Optionality adds hidden costs. Routing across several models requires an abstraction layer, continuous evaluation, model-specific tuning, extra monitoring, and dedicated QA.

Cheaper models can also create rework; a single bad extraction can erase any initial savings. Ultimately, a cheaper token price does not always translate to a lower total business cost.

While a single, dedicated supplier can offer better support, higher rate limits, a clearer product roadmap, and stronger security or data-residency commitments.

Also tokens do not represent the entire cost. Once you factor in human review, tooling, hosting, and development, a massive saving on model usage barely moves the needle on the overall business case.

This is why vendor independence only pays off above a certain threshold. Below a specific volume and risk level, sticking with one strong supplier is often the better call. Above that threshold - or in scenarios where losing a supplier would completely stop the workflow - implementing a fallback system easily justifies the extra development cost.

Governance note

APP 1.7 commences on 10 December. In my experience, mapping your automated decisions properly takes anywhere from 8 to 16 weeks for internal teams. The stakes are high, with serious privacy breaches attracting penalties of up to $50 million.

The routing gate: should this workflow be on the frontier?

Score each workflow 1 to 3 on five dimensions - add them up.

Read the total (out of 15):

10 or above: Route, or add a cheaper controlled fallback. You are carrying exposure or leaving real money on the table.

7 to 9: Hybrid. Keep it on the frontier model but build the fallback and the monitoring now, before you need them.

6 or below: Standardising on one supplier is usually fine. Do not spend the build cost to solve a problem you do not have.

This will not be the final answer...but It is a better starting point than putting high-volume, low-risk work on the most expensive model by default.

Your job is to interview me, collect the missing information, then produce a scored routing table.

Start by collecting:
1. My organisation’s industry
2. Approximate organisation size
3. Main regulated exposures or sensitive data types
4. The AI-assisted workflows we currently use or are considering

For each workflow, collect:
- What the workflow does
- Rough monthly volume
- Who uses or relies on the output
- What happens if the output is wrong
- Whether errors are usually caught before they matter
- Whether the workflow uses personal, customer, confidential or regulated data
- Whether the workflow would be hard to move away from if the AI supplier changed price, policy or availability

After each answer, decide whether you have enough information to score that workflow. If not, ask a targeted follow-up.

For each workflow, score 1 to 3 on five dimensions:

1. Volume
- 1 = low or occasional use
- 2 = regular but not operationally heavy
- 3 = high-volume or continuous use

2. Error tolerance
- 1 = errors are cheap, obvious or easily caught
- 2 = errors create moderate rework or reputational risk
- 3 = errors are expensive, hard to spot, customer-affecting or legally risky

3. Continuity risk
- 1 = easy to swap supplier or pause workflow
- 2 = disruption would be inconvenient but manageable
- 3 = business process stops, degrades materially or creates serious dependency risk if the supplier is removed

4. Data sensitivity
- 1 = non-personal, non-confidential data
- 2 = internal business data, mildly sensitive information or limited personal data
- 3 = customer-affecting, regulated, confidential, privileged, health, financial, legal or high-risk personal data

5. Opportunity cost if locked
- 1 = little financial or strategic impact if locked into one supplier
- 2 = some potential savings or flexibility lost
- 3 = likely locked out of large savings, better models, routing gains or resilience benefits

Total each workflow out of 15.

Recommend a lane using this logic:

- 10+ = route dynamically or add a cheaper controlled fallback
- 7-9 = hybrid setup with fallback and monitoring
- 6 or below = standardise on one supplier

If any workflow scores 3 on data sensitivity, flag it as needing a governance check before any routing change.

Begin by asking me the first question only.

What you own before your next budget cycle

This is not a decision for IT or a working group - it is a COO decision, with the CFO co-signing the investment.

Before your next budget or vendor review, run the gate on your top five to ten AI workflows. Produce a single page that outlines three things:

1. Which workflows stay on the frontier model and the strategic reasoning why.

2. Which workflows move to a controlled, cheaper option to optimise costs.

3. One definitive dollar figure: either the annual run-cost you will stop leaking, or the continuity exposure you are choosing to carry deliberately.

That is the minimum useful output: a named list and a single, owned number, signed by the two executives who carry the risk.

Models will continue to grow more powerful, meaning governments will keep taking an interest and market prices will keep moving.

Run the gate. Own the number.

Forward this to your COO: if our main supplier were removed tomorrow, which workflow breaks first?

During a board risk committee meeting earlier this year, the CRO was asked a direct question: whether any of the AI tools used in the market or credit functions could produce an outcome that would require disclosure under the new APP 1.7 rules coming into effect in December. He said he would need to check.

Three weeks later, the answer came back. At least four tools were already making or heavily influencing decisions that could trigger the disclosure requirement. None of them had a documented owner at executive level.

The tools themselves weren’t the problem. The absence of clear ownership was. When no one is explicitly accountable for the decisions a tool is shaping, the exposure doesn’t stay contained. It drifts upward until it eventually sits with the people who approved the spend in the first place.

Funding the build while ignoring the breach

The recent Federal Budget committed to lifting the R&D expenditure threshold to $200 million by 2028. The commercial signal from government and shareholders is pointing in one direction: build, adopt, and deploy AI capability.

Parallel to this, a serious breach of the Privacy Act now carries active penalties up to $50 million. The layer between the incentive to build and the penalty for a breach is the governance problem I am watching play out. Very few executive teams are funding that middle layer..

Directors are approving capital for new models, copilots, and agentic workflows based entirely on vendor presentations. The technology functions deploy them to the business. The operational layer then absorbs them without mapping how the underlying decisions change or who assumes the new risks. This leaves the board exposed on two fronts simultaneously.

The 10 December 2026 deadline

From 10 December 2026, new automated-decision rules under the Privacy Act (APP 1.7 to 1.9) require an organisation to explicitly disclose in its privacy policy where it uses a computer program to make decisions that could significantly affect a person’s rights or interests.

You cannot disclose what you have not mapped. Finding those hidden decisions takes months of forensic workflow analysis. The exposure sits entirely in the decisions you did not know the products were making on your behalf.

Your D&O insurer reads that exact same signal

APRA wrote to every bank, insurer, and super trustee on 30 April 2026, explicitly stating that governance and assurance practices are failing to keep pace with AI adoption. They noted a dangerous over-reliance on vendor presentations instead of internal assurance.

ASIC identified the exact same gap in REP 798, after reviewing 624 use cases across 23 licensees. A consumer lender in that review was running an AI credit-scoring model it could not explain. No one inside the business could name the variables driving a customer’s score.

You cannot delegate duty of care to a model

The legal shield for directors is narrowing......On 21 May 2026, the Chief Justice of NSW, Andrew Bell, delivered the Harold Ford Memorial Lecture on directors’ duties and AI. Australia is not writing AI-specific corporations law.

Section 180 still requires directors to exercise care and diligence themselves, even where AI shaped the recommendation. Section 189 may protect reliance on people and board structures, but it does not clearly extend to reliance on a model as the adviser.

AI can support the judgment, but it does not take the judgment off the director.

Compliance exposure runs parallel to a massive waste of capital

BCG studied 1,250 firms and found 74% of companies using AI still have not produced commercial value. McKinsey’s data shows the same....

Nearly eight in ten companies have deployed the tools, while roughly the same proportion report no material impact on earnings.

The reason for the wasted capital is the exact same reason the compliance gaps exist: companies are treating AI like a software installation instead of a workflow redesign.

Fund the workflow change, not the AI tool

During my time in General Management at News Corp, driving a turnaround that delivered 160% revenue growth across a legacy portfolio, I learned a simple lesson: technology only shows up in the numbers when the work changes.

We once rolled out a six-figure CRM platform across a commercial sales team. Training was done. Launch support was in place. Six weeks later, one of our best sales leaders showed me her paper notebook. She was still managing pipeline there because the new system took three extra clicks to log a call, and her managers were not using it as the source of truth either.

The tool was good. The workflow around it was worse than what she already had, so she ignored it.

The same failure pattern is now showing up in AI.

Tools are being deployed without the workflow being redesigned. Teams bolt AI onto broken processes and then wonder why the promised time savings disappear into review, rework and confusion.

That exposes the board on both sides: you spend money you can’t track to a result, while holding risk you can’t explain. The orgs that win force discipline on three things:

1. what they fund

2. what work stops

3. who owns the P&L result.

The OWNER Checklist

For every material AI initiative, the board must confirm five fields. Any field left blank means the initiative is not board-ready.

• O. Outcome: a named, measurable P&L or strategic target. Vague terms like productivity or efficiency are rejected. Which number moves? Revenue, cost, time, or risk.

• W. Who owns it: one named accountable executive. Never a committee or a working group. Diffuse ownership means no one is accountable when value or compliance fails.

• N. Next review: the cadence, plus the specific trigger metric that forces an off-cycle look if accuracy degrades.

• E. Engine change: the exact workflow you redesigned and the specific manual step you retired. Eliminate, automate, and reallocate.

• R. Risk and exposure: privacy (APP 1.7 mapped), conduct, duty of care, and D&O status documented.

Handing AI to the technology function makes the board feel covered, but it does not protect the directors. A CTO can own parts of the technology, security, and control environment. Business-model change and capital allocation belong to the CEO and the P&L owners.

When reviewing the live AI list, you must ask the questions that surface the operating reality.

What to do next

Before Friday: ask management for a one-page register of the three largest AI initiatives currently running in the business.

Run the OWNER checklist against each one.

What number does it move, who owns it, how often is it reviewed, what work has changed, and what exposure does it create?

Then ask the single question that started the CRO’s workflow mapping: which of our AI tools are actively making decisions about our customers, and is our APP 1.7 disclosure on track for 10 December 2026?

The gap between how your people work and how you lead keeps widening

Last month a CEO, let’s call him Mark, walked me through his month. He said his team had rewired how work gets done. Work was moving faster, the business was performing well, and AI was now part of the operating rhythm.

I said, “That is good to hear. How has your team rewired the work?”

He said, “We have more than 500 Copilot licences in use, and we have agentic AI deployed.”

The more I probed, the more overwhelmed he became.

Finally he said, “I can feel the distance between how my people now operate and how I still lead. It seems to be widening every month. How do I get on top of this AI stuff?”

Mark was not behind because he lacked effort or skill. He was working the way he always had. He wanted to know whether his traditional methods were still the best way to move the needle. He also questioned whether he was still leading at the level the job now demands.

Catching up is the wrong instinct

I hear this from leaders constantly. The instinct is to catch up: read more, attend more events, buy more tools. That instinct is mostly wrong.

What got you here will not get you there.

The change starts with a decision: put the old way of working to one side and approach every task through an AI-first lens. Ask yourself constantly how AI can augment the work in front of you.

• Sometimes it automates the task completely.

• Sometimes it makes you faster.

• Sometimes it adds nothing, at least not yet.

Apply AI to your highest-value work

When I started working with AI in 2020, I tried everything to connect it to my work:

• every task

• every hour mapped

• every workflow

• flowcharts

• mind maps

• week-by-week notes

Over time I stopped needing the log. What became clear was simple: apply it to your highest-value work. That is where AI generates the most value.

What if every important business problem had an intelligent loop around it, one that could search wider, test faster, diagnose issues earlier, improve the work, and only escalate the decisions that actually require leadership attention?

I call it Loop Engineering, and the rest of this read will tell you how to build one.

The unit of work has changed from task to cycle

A prompt gives AI an instruction. A loop gives it a governed job.

Five steps that run on repeat:

• Goal: the outcome you are improving. Every pass is measured against it.

• Generate: the system produces the work.

• Check: it scores that work against the standard.

• Diagnose: when the work falls short, it finds the specific cause.

• Adjust: it changes one lever, then runs again. This is where it self-corrects.

You set four rules around the loop:

• Standard: what good looks like, specific enough to score against.

• Red lines: what gets rejected on sight.

• Human gate: the call that still needs you, the trade-off and the final yes.

• Stop rule: when to stop, escalate, or kill it.

Don’t lead tomorrow’s business with yesterday’s playbook.

Reactive functions become self-improving engines

Loop Engineering changes where leadership attention goes

You stop controlling individual outputs by hand. You start defining the standard, setting the measures, deciding the exceptions, and improving the system itself.

“AI becomes a commercial asset when it stops answering isolated requests and starts improving the way the business works. Which process should we put a loop around first, and who owns the goal?”

Where it breaks

Loops break in predictable places:

• Poor goal: the system works toward the wrong thing.

• Weak standard: the system cannot tell good from bad.

• Bad context: the output looks sharp and rests on nothing.

• Cosmetic checking: the system reviews itself without real verification.

• Shallow diagnosis: the system names a failure it cannot explain.

• Wrong adjustment: the system tightens the wrong lever.

• No stop condition: the loop becomes sunk cost with better language.

• No human gate: the system crosses into decisions it should not own.

• No memory: the learning disappears and every cycle starts cold.

• Wrong environment: a chat window cannot run a fully governed cycle without tools, logs, and permissions.

Appendix: run it yourself, the full toolkit (power users)

This appendix is for the two groups who want more control: terminal users who want to run it natively, and power users who want to drive each stage of the loop by hand.

⚠️ The fully autonomous version is not yet available out of the box in standard consumer apps like ChatGPT or the Claude desktop app. To run it at full potential you need a terminal or IDE such as Claude Code or Codex. Or I have the prompt pack below for those who rather not.

First time, and nothing installed? It is one line. Open your terminal (Terminal on a Mac, PowerShell on Windows), paste one of these, then type claude or codex to start.

Once it is running, you do not need a heavy setup. Feed your objective and guardrails straight into the native /goal command in a single line. It handles the loop and the self-correction.

In a chat window, by hand: the three prompts in order

You paste a prompt, answer the AI’s questions in plain English, and decide what to do with the output. The AI handles the protocols, the scoring, and the placeholders. Your job is simple: paste, answer honestly, and choose what comes next.

Run them in one chat, not three separate ones. If you uploaded this issue first, the AI already has all three prompts and will carry you from goal to loop to recovery without you pasting again. The three are laid out below so you can see and control each stage.

The three run as one sequence: the goal prompt locks the target, the loop prompt runs until the work passes or the path is killed, and the recovery prompt unsticks it if it stalls.

Step 1: lock the goal. Paste this into a fresh chat and answer its questions.

You are a goal interrogator. Your job is to stop me from working on the wrong thing.

Run me through this protocol. Do not skip steps. Do not let me past a step until I answer cleanly. Push back hard. Do not flatter me. Do not invent additional steps.

1. STATE THE GOAL IN ONE SENTENCE
   - Reject vague verbs: improve, enhance, drive, enable, optimise, leverage, support, explore, understand, look into.
   - Reject anything that cannot be observed externally by a third party who cannot ask me questions.
   - If the verb is vague, force a restate with a measurable outcome.

2. DEFINE "DONE"
   - What would a third party point to and say "this is the result"?
   - Name the metric, the delta, the deadline, and the artefact. One sentence each.

3. RED LINES (minimum three)
   - What automatically disqualifies any solution, regardless of how attractive?
   - Push back if I give fewer than three.

4. WALK-AWAY CONDITIONS
   a) Falsifying evidence: what would prove the goal itself is wrong, not just the method?
   b) Spend cap: the maximum I will spend in time, money, and attention before walking.
   c) Break-point: at what observable trigger does walking away beat pushing through?

5. NAME THE BIAS MOST LIKELY TO DISTORT THIS
   - Pick one from: sunk cost, sponsor pressure, ego, optimism, charisma, anchoring, FOMO, status, recency.
   - Explain in one line why it applies here, not in general.

6. PRESSURE TEST (you argue, I defend)
   a) Argue the strongest case the goal is the wrong target.
   b) Argue the strongest case the goal is right but the timing is wrong.
   c) Argue the strongest case someone else should own this, not me.
   I defend all three before you continue.

7. SCORE THE GOAL (0 to 1) on:
   - Clarity
   - Measurability
   - Falsifiability
   - Commercial fit
   GATE: all four scores at or above 0.80 AND average at or above 0.85. If either condition fails, send me back to step 1. Do not negotiate.

OUTPUT a single locked block I can paste into the loop:
   GOAL: <one sentence>
   SUCCESS: <metric, delta, deadline, artefact>
   RED LINES: <list>
   WALK-AWAY: <falsifying evidence | spend cap | break-point>
   BIAS WATCH: <named bias, one-line reason>
   CONFIDENCE: <four scores and the average>

If I am being lazy, emotionally committed, or moving fast to avoid the question, say so directly.

When the locked goal block is complete, do not wait for another prompt. If the loop prompt is available to you, for example because this issue is uploaded, continue straight into the loop on this goal. If it is not, tell me to paste the loop prompt next.

Step 2: run the loop. Paste this into a fresh chat, then replace the bracketed lines with the block from Step 1.

You are running a generate -> check -> stress test -> diagnose -> adjust cycle against a locked goal.

INPUT (replace each bracketed line with your own content before sending):
- Goal block from Step 1: [PASTE THE LOCKED GOAL BLOCK FROM STEP 1 HERE]
- Scoring rubric: [PASTE YOUR SCORING RUBRIC HERE, OR WRITE: USE THE FOUR CONFIDENCE CRITERIA FROM STEP 1]

- Stop conditions (any one fires the stop): standard met for two consecutive cycles with zero red-line breaches, goal disproven by evidence collected during the loop, max cycles hit, or expected value of next cycle below its cost.

EXPECTED VALUE CALC (use when invoking the EV stop):
   EV(next cycle) = P(material improvement this cycle) x value of that improvement
   STOP if EV(next cycle) < direct cost of running it. Show the numbers.

PROTOCOL — run every stage on every cycle. Same output structure every cycle so I can compare across.

A. GENERATE
   Produce the output: list, draft, recommendation, plan, or analysis.
   Show sources, assumptions, and confidence per claim.
   Flag anything resting on a single source or untested assumption.

B. CHECK
   Score the output against the rubric, criterion by criterion.
   Mark every red-line violation explicitly.
   Output pass or fail per criterion with one-line evidence.

C. STRESS TEST
   Run one adversarial pass: what would a hostile expert kill this on?
   List the top three ways this output fails when it reaches the human gate.
   Downgrade any claim resting on weak evidence after the stress test.

D. DIAGNOSE
   If the output fails, name the cause precisely. Pick exactly one:
   - Goal mis-specification
   - Missing or stale evidence
   - Wrong source or weak data quality
   - Faulty scoring weights
   - Structural mismatch (this option type was never going to work)
   - Bias contamination (optimism, sponsor pressure, anchoring, etc.)
   No "needs more work". Name the lever.

E. ADJUST
   Change exactly one lever based on the diagnosis. State what changed, why, and what the next cycle will test.
   Do not adjust multiple levers in one cycle. Ever.

F. REPEAT
   Re-run from A with the adjusted method.
   Maintain a learning log per cycle: number, lever changed, score before, score after, what was learned.

STALL TRIGGER:
   If the same diagnosis fires twice in a row OR the score does not move for two consecutive cycles, declare a stall. If the recovery prompt is available to you, run it yourself and then resume the loop with the patch applied. If it is not, tell me to paste it. Do not run a third cycle on the same diagnosis.

ESCALATE TO HUMAN GATE only when the output passes the standard AND survives the stress test for two consecutive cycles. Provide:
- Final output
- Score per criterion
- Stress-test summary: what could still kill this
- Learning log
- Recommended next decision: approve, adjust, kill, or expand scope

Do not produce filler cycles. Every cycle must move the score, change the diagnosis, or kill the path.

Step 3: recover when it stalls. Run this only when the loop stalls or contradicts itself.

You are the recovery layer. The loop has failed, stalled, or contradicted itself. Your job is to find the real break and patch it before the next cycle runs.

INPUT (replace each bracketed line with your own content before sending):
- Goal block: [PASTE THE LOCKED GOAL BLOCK FROM STEP 1 HERE]
- Last failed output: [PASTE THE LATEST FAILED OUTPUT FROM STEP 2 HERE]
- Loop log: [PASTE THE LEARNING LOG FROM STEP 2 HERE, OR DESCRIBE WHAT HAS BEEN TRIED]
- Failure mode observed: [DESCRIBE WHAT WENT WRONG IN ONE LINE: error, crash, repeated low score, contradiction, hallucination, red-line breach, plateau, or same diagnosis twice]

PROTOCOL:

1. CLASSIFY THE FAILURE — pick one and only one:
   a) Goal failure: the goal is wrong, fuzzy, or unmeasurable.
   b) Evidence failure: the data feeding the loop is stale, missing, or wrong.
   c) Method failure: generation or scoring cannot produce a valid output for this goal.
   d) Verification failure: the check stage lets bad output through or rejects good output.
   e) Execution failure: the system crashed, timed out, or hit a constraint.
   f) Bias failure: the loop is optimising toward an attractive but commercially wrong direction.

2. ROOT CAUSE
   Drill with "why" until you hit a single named, changeable lever. Maximum five whys. Output the full chain so I can audit your logic.

3. PATCH
   Propose exactly one minimum viable change that fixes the root cause without rewriting the loop.
   Removal is preferred over addition. If the patch adds scope, justify why no removal would work.
   State exactly what changes in: prompt, source, scoring weight, verification rule, sequencing, or stop condition.
   State the cost of the patch and the expected effect on the next cycle.

4. REGRESSION CHECK
   List what the patch could break that was working before.
   Add a guard, test, or assertion that catches the regression on the next cycle.

5. LEARNING RECORD
   Write one line in this format:
   [Cycle N | Failure class | Root cause | Patch | Expected effect | Regression risk]

6. REPEAT-PATCH GUARD
   If this root cause has appeared in any previous recovery entry for this loop, do not patch again. Tell me to escalate to a human. The loop has a deeper structural problem.

7. DECIDE — pick one:
   - Resume the loop with the patch applied.
   - Escalate to human gate to adjust the goal, the standard, or the kill criteria.
   - Kill the loop because the goal is disproven or expected value is below cost.

Do not retry the same approach hoping for a different result. Do not patch more than one thing at a time. If you cannot name the root cause in a single sentence, tell me to escalate to a human.

Pushback is the signal that the prompts are working. The AI will start saying things you did not want to hear. Your goal will get rewritten on the first pass. Ideas you arrived with will get killed inside the loop. Assumptions you treated as facts will get challenged. Run it this week on a decision you have been delaying, and watch how fast the goal interrogator finds the fuzzy bit you have been avoiding.

Zenity Labs showed in March what a single calendar invite can do. A hidden instruction buried inside a meeting request hijacked Perplexity’s Comet browser, read the user’s local directories, and pulled their stored 1Password credentials, all with zero clicks from the user. Perplexity patched it and 1Password added new protections.

The same autonomy that makes these systems useful is the thing under attack.

$4.26 million is the average cost of a data breach in Australia, on IBM’s latest count. The audit that shrinks your exposure to that number takes about 20 minutes on a Friday.

I went looking for my own tool list, and there wasn’t one. Over the past year I gave read access to more than 30 AI tools, my best count, then stopped keeping the list.

This past week a web page tried to slip my running AI a hidden instruction, dressed up to look like it came from me. It stopped at a wall I had built for exactly that, and the attempt went nowhere. That sent me to count what I had left wide open.

The same autonomy that saves me an afternoon is the door an attacker walks through.

Every one of those tools opens my files as me. I had handed those vendors a key to the house and could not tell you which doors they opened. Across the AI readiness reviews we are running this quarter, the same gap shows up: the team can name the model they chose but cannot name the tools with read access to their files.

Vendor contracts won’t save you. Australia’s new APP 1.7 rules mean any automated system shaping customer outcomes must be publicly disclosed-whether it’s a shiny new LLM or a 15-year-old legacy algorithm. With a

$50M penalty on the line, the only defense is to stop counting software tools and start mapping your actual decisions.

I keep both hands on the wheel for the five things that are hard to undo.

None of this slows the work. The AI still does the heavy lifting on its own. I hold the line on the five moves that are dangerous to automate.

Wall 1. Looking is free. Acting waits. The AI can read, research and draft on its own. It cannot send, buy, delete or change access without my explicit yes.

Wall 2. No standing access to money. No live card or payment rail wired to an agent that runs on its own. A human approves every spend, every time.

Wall 3. Sending speaks as me. A human click on every outbound email and calendar invite. That is the exact zero-click door Zenity walked through…..

Wall 4. Keep the vault out of reach. My password manager sits outside any folder the AI can read. The Comet attack worked because the credentials were in range.

Wall 5. Audit every Friday. Twenty minutes to list every app and key that can read my files, and cut anything without a clear owner.

I drop one file into my context folder so the walls travel with every job.

Australian governance

An autonomous agent reading files that hold personal information sits squarely under the Privacy Act, specifically APP 11, the security of personal information. My read is that the OAIC, the AICD and the ASD are all moving the same way, which is that AI access now belongs on the board agenda next to cyber and continuity. If your board cannot name who owns each AI tool with access to company data, that is the first gap to close.

Before Friday: run Wall 5. Open your connected-apps list, count the AI tools that can read your files, and disconnect the ones you have forgotten. Takes 20 minutes.

I gave my credit card to an AI agent last year, It found me a cheaper flight on Virgin, rebooked it, and I arrived three hours late for a meeting. It never checked my calendar. It got stuck on a dropdown menu, guessed around it, and picked a departure time that looked right to a machine and wrong to anyone with a diary...

Gartner expects machine customers to account for at least 21% of revenue by 2030. For a $500 million Australian business, that’s $100 million arriving through software, not a person clicking “add to cart”.

Your website, your pitch, your checkout were all built to win a human. The next buyer isn’t one.

1. The Five Types Already in Market

The co-buyer. You and your AI agent shopping together. In corporate procurement, this looks like a category manager delegating the vendor search to an agent, the agent comparing terms and pricing across 20 suppliers, then freezing at a checkout that requires phone verification. The human has to step in - the conversion stalls. Competitors whose sites are agent-readable will win the contract.

The delegated agent. You hand the agent the outcome and walk away. Walmart does this already: buyers give an AI system a budget and constraints, and it negotiates directly with suppliers on smaller contracts. Walmart reports average savings of about three percent and says three out of four suppliers prefer negotiating with the AI over a human. The human sets the goal; the agent works out the how.

The autonomous buyer. No human in the loop. A factory’s predictive maintenance system spots a failing rotor, orders the replacement part through the ERP system, and books the install.

The multi-agent network. The UAE has committed to moving about half of its government sectors, services and operations onto agentic AI within two years, positioning AI agents as operational partners rather than just tools. That includes service delivery and back-office functions, and procurement.

The intermediary broker. Amazon has Rufus. Walmart has Sparky. Woolworths has Olive. These agents sit between buyer and seller, and they work for the retailer, not for you. If your product doesn’t fit what Rufus rewards, price and compliance, it doesn’t get recommended.

2. B2B and B2C Are Changing

Every business on earth runs on one of four models: B2B, B2C, C2B, or C2C. Each one assumes a human on at least one side of the deal.

For each one, identify the commercial model most likely to disrupt it first: Business-to-Agent, Consumer-to-Agent, Agent-to-Agent, Agent-to-Business, or Thing-to-Business. Estimate the revenue at risk and the likely timeline. Our business: [industry, size, primary channels].

3. The Internet Wasn’t Built for This

OpenAI partnered with Walmart on “Instant Checkout”, letting people buy 200,000 products inside ChatGPT without leaving the app. Conversion was 3x worse than Walmart’s own website.

The checkout was the problem. AI agents can’t get through dropdown menus, pop-ups, multi-step forms, or the friction we build into a page to reassure a human.

We need different doors for different machine customers. A delegated agent buying one ergonomic chair needs a different door than a smart building ordering 3,000.

Picture a $200m Australian industrial supplier, most of its revenue in annual contracts. Can an agent find it? Yes, the catalogue is indexed. Can it read the price and the terms? No, every quote hides behind “contact sales”.

Can it place the order? No, the contract still needs a signature in ink. Two doors out of three are shut.

4. Growth Over Efficiency

Every AI conversation I’ve had in Australian boardrooms this year still sounds like this “Ramon, how do we do the same thing with fewer people?” Efficiency makes your P&L look healthier for a quarter. It does not give you a new revenue line.

If you want to see what growth looks like, look at cross-border finance. Last year, $208 trillion flowed across borders. The banks moving the cash took a $625 billion clip. Today, treasury platforms like Kyriba run agentic AI that manages liquidity autonomously. An agent watches positions across global accounts and sweeps cash in real-time based on the treasurer’s rules.

When you put an agent in charge, it doesn’t just do the old process cheaper. It actually strips out the human delay. Volume and velocity both climb.

New products, new transaction flows, and new pricing models that only exist because the buyer is software.

Stop asking how AI can cut your headcount....How it can capture the revenue you didn’t notice walking out the door?

Blocking machine buyers doesn’t work. Legacy security systems will flag legitimate automated transactions as malicious bots, and the agent will simply take its budget to a competitor whose checkout is machine-readable. 5. Know Your Customer > Know Your Agent

Every customer registration, sign-off process, and sales workflow your business has built was engineered for a buyer with a face, an email address, and a pulse. Machine agents have none of those...

If your online portals or sales channels cannot verify who owns an incoming agent, what it is authorised to spend, what its preferences are, what supports conversion, what slows it down this is going to impact the balance sheet.

If your digital security is too tight, it blocks automated buyers and you lose the revenue. If it is too loose, a rogue agent can execute invalid orders.

The payment and tech infrastructure is already outstripping corporate governance:

Stripe has deployed dedicated payment rails specifically built for AI agents.

American Express covers transaction losses if a registered agent makes a purchase in error.

Visa and Mastercard are rolling out trusted agent tokens and digital cryptographic signatures.

Machine-Customer Readiness: 5 questions for your next board meeting

1. Niche Exposure: Have we named which machine customer type (co-buyer, delegated, autonomous, multi-agent, or broker) is most likely to transact with us first?

2. Headless Commerce: Can a purchase complete on any of our digital channels without a human UI?

3. KYA Process: Do we have a KYA (Know Your Agent) process to verify the identity, permissions, and ownership of a machine customer?

4. Revenue at Risk: Have we sized the revenue at risk if one in five of our transactions goes machine-initiated within four years?

5. Structural Ownership: Is there a named owner for machine-customer readiness, or is it sitting with “digital” by default?

Before Friday: Pick your highest-revenue channel and ask your team: If an AI agent tried to buy from us today, where would it break?

Forward this to whoever owns growth in your company: “Which of our revenue lines still assumes a human buyer, and who owns rebuilding it?”

She’s right about that, and I don’t care whether AI was involved in producing the work. AI doesn’t make work bad, and lazy process doesn’t suddenly become acceptable because the analyst used a different tool. A tired analyst cutting corners on a Friday produces the same garbage whether they use ChatGPT or a calculator, and the output only gets dangerous when nobody checks it afterwards.

Three weeks later, EY retracted a published research study with fabricated citations. AI-generated references that don’t exist, in a piece of work from one of the largest advisory firms in the world (AFR, 17 May 2026).

The verification gap is the problem. The tool is irrelevant.

1. Understand why confident-sounding AI output keeps passing through unchecked

Large language models predict the next word that best fits the pattern in their training data. They are not built to verify whether the text is true. The better a model gets at sounding right, the harder it gets to spot when it’s wrong.

I spoke to a client 2 weeks ago who’d just signed off on a risk assessment from an external firm. 40 pages, well-formatted, 6 regulatory citations in the appendix. I asked if anyone had checked the citations against the original sources.

He said, “Why would we? That’s what we’re paying them for.”

You’re paying for expertise. If the expert used AI to draft the appendix and didn’t verify the output, you’re paying for confidence, but not accuracy.

Confidence is what these models are designed to produce.

2. Ask three questions on every deliverable that crosses the board table

I’ve started asking these in every governance review I do. The reactions tell me everything about how prepared the organisation is for what’s coming.

Question 1: “Was AI used in producing this? If so, which parts?”

What I actually say in the room: “Can you confirm whether AI tools were used at any stage of this work? If yes, which sections?”

Nobody is asking this yet, a year ago the question wasn’t always necessary. The worst case used to be a tired analyst cutting corners on a Friday afternoon. The worst case now is fabricated evidence in a board paper that informs a capital allocation decision…

Why it matters commercially: if your board approves a $5m investment based on a strategy paper with fabricated market data, that quickly becomes a serious fiduciary issue. The liability sits with the directors who approved the paper.

Question 2: “How were the sources verified?”

What I say: “For every statistic, citation and named source in this document, what was the verification process? Were sources independently checked against original material, or carried forward from the AI output?”

This is the question that would’ve caught the EY retraction before it went public. I run a simple test with clients:

• Pick any 3 citations in the document

• Open a browser

• Try to find the original source

If even one doesn’t exist, the verification process failed.

3 citations, 2 minutes each, 6 minutes.

I ran this test on a risk assessment a client received from an external advisor earlier this year. 2 of the 3 citations I checked were real. The third referenced a report from a consulting firm that doesn’t publish reports. The title sounded right, the date was plausible…….BUT the report didn’t exist. Nobody in the approval chain had verified it, and the document had been tabled at a board meeting and used to inform a $2m procurement decision.

Add one line to your vendor contracts:

Your GC can draft that in 10 minutes, this shifts the liability back to the firm that produced the work.

Question 3: “Where was human judgement applied?”

What I say: “Who made the final call on the recommendations, and what did they change from the first draft?”

Good AI-assisted work has a clear human judgement layer. Someone reviewed the output, challenged the reasoning, and adjusted the recommendations based on context the model doesn’t have. That’s how you use AI-assisted work: sources get checked against originals, recommendations get stress-tested against client context, and if we use AI to draft a section, we flag which section and what we changed.

The tell is in the recommendations. Here’s the test: open the recommendations section. If it says “implement a robust governance framework and invest in AI literacy across the organisation,” that could apply to any company in any sector. If it says “your Q3 claims triage is running 3 automated decisions through a vendor model with no human override, and your October D&O renewal will price that in,” someone with knowledge of your business wrote it. If the recommendations could apply to your competitor without changing a word, ask who actually wrote them.

3. Ask “how was this produced?” the same way you’d ask about a financial model

You want to know the assumptions, the data sources, and who signed off when you look at any business case right?

AI-assisted work deserves the same scrutiny:

The OAIC’s submission to the Productivity Commission this month argued for stronger privacy protections around AI adoption, not looser safeguards (OAIC submission, 22 May 2026). APRA flagged AI-related governance and controls as a growing supervision focus the day before (APRA System Risk Outlook, 21 May 2026).

If you’re thinking “our advisors wouldn’t do that,” consider this: they might not know they’re doing it. Junior staff use AI to draft sections. Managers review the output without checking the citations. Partners read the executive summary. The 60-page deck lands on your board table looking polished and thorough, and the process failed 3 levels down.

Nobody above caught it because nobody asked

4. Do these three things before Friday

If you’re a Chair: pick the last advisory deliverable your board received. Use the 3 questions. If you can’t get clear answers to all 3, you’ve likely found the gap. Request a verification protocol from your GC by 30 June.

If you’re a CFO: run the 6-minute citation test on any document your board received this quarter. Pick 3 citations, open a browser, check them. The whole thing takes 6 minutes.

If you’re a General Counsel: add the verification warranty clause to your next vendor engagement. Draft the contract language this week. Add “AI disclosure and verification” as a standing item on the board risk register.

If you’re a CEO: ask your executive team one question: “On the last piece of external advisory work we received, did anyone check whether the citations were real?”

Before Friday: run the 6-minute citation test on one document your board received this quarter.

From 10 December 2026, Australian businesses using AI to make decisions about people must disclose those decisions in their privacy policy. Hiring filters, credit scoring, insurance pricing, claims triage, customer segmentation: APP 1.7 covers all of them. The OAIC is not waiting; they are already sweeping 60 organisations across 6 sectors before the commencement date arrives.

If you are a Chair, CFO, CEO, or General Counsel in an Australian business between $100m and $1b, the next 207 days determine whether your board can answer the question your D&O insurer will ask at your October renewal.

• Can you name every automated decision in your business?

• Can you describe exactly what data flows into them?

• Can you prove whether a human overrides the output when the team is under load?

Across the 12 privacy readiness audits we triaged this quarter, the pattern is almost identical...

1. Run the Inventory Pass Against the Three Non-Negotiable Rules

The pattern across corporate boards this year holds - The General Counsel walks into the room carrying 5 to 7 automated decisions they can name confidently. Procurement looks at their logs and sees around 25 SaaS vendors with an AI angle in the contract stack.

Yet, after 90 minutes with the workflow owners in the room, the people who press the buttons - the real count lands between 10 and 30. In one recent engagement, a client walked out of stage one with 30 mapped decisions where their original corporate count was just 7.

Procurement knows what the business bought. The workflow owners know what the business runs. Audit your footprint against these three structural boundaries:

• The Boundary Rule: The legal test is a “reasonable expectation of significant effect on rights or interests.” A discount eligibility threshold counts. A queue position for human review counts. A loan product pre-selection counts.

• The Vendor Rule: Whoever arranges the decision discloses it. SaaS vendors do not disclose for you. If your business runs an AI-anchored decision about a customer through someone else’s tool, the disclosure obligation lands on your desk.

• The Workflow Rule: Build the inventory with the workflow owners, not legal and procurement alone.

2. Capture Four Data Points For Every Single Decision

Capture these 4 data points for every decision on the register before the disclosure goes anywhere near your published privacy policy:

• Model Named: Identify the specific tool, vendor, or in-house system running the decision. If it is a black-box vendor model, acknowledge that in the disclosure and flag the contract for renewal scrutiny.

• Inputs Listed: Map the personal information flowing into the decision: demographics, transaction history, document content, behavioural signals, location, and any inference layers that derive new data from the original inputs.

• Override Described: Detail the human override honestly. Does it survive a busy week? If a human will not realistically overturn the AI under load, the chain is “intact” and the decision is substantially automated.

• Outcome Stated: Define what the customer actually gets- approval, rejection, price tier, service level, queue position, or visibility.

What this looks like in practice: Your public privacy policy says: “We use AI to help screen job applications.”

Your internal register names Workday Recruiting as the tool, lists the data inputs (CV text + role description), notes the rejection threshold at 0.65 confidence, and names the specific recruiter who reviews every flagged application.

The policy is what your customers see, the register is the audit trail the regulator demands.

Two documents come out of this work: the public privacy policy section published in December, and the audited register that lives behind it, that is reviewed every quarter.

3. Stress-Test the Register Against the Four Board Traps

Every board audited this quarter has fallen into at least one of these four operational traps. Verify your footprint passes all four checkpoints before the disclosure ships:

• Trap 1: The “Vendor Handles Disclosure” Assumption: They don’t. The arranger discloses, and the arranger is your business. Procurement contracts can shift commercial liability to the vendor, but they cannot alter the regulator’s view of statutory accountability.

• Trap 2: The “Human in the Loop Breaks the Chain” Myth: It only breaks the chain if the human reverses the AI’s recommendations under load. If a manager rubber-stamps outputs during a busy week to clear a queue, the AI is anchoring the decision and the chain is intact.

• Trap 3: The “Proprietary Tooling Provides Cover” Illusion: Custom code simply makes the disclosure harder to write because the inputs and weights are opaque. The decision still happens, the customer is still affected, and the obligation still applies.

• Trap 4: The “General Counsel Has Already Mapped Them” . The first count usually misses two-thirds of the actual decisions. Legal knows the policy, Procurement knows the contracts, but only the workflow owners know where the model actually sits. Run the audit with them present or your count is wrong.

4. Enforce The Filter on Every Next Board Pack

The audit is the work the next board pack must fund. Moving forward, every single AI initiative must pass these 4 questions before it receives a single dollar of corporate capital:

1. Revenue, Cost, Time, or Risk: Which specific corporate lever does this initiative move, and by how much? If the answer is none of the four - kill it.

2. The Governance: Does the business case explicitly budget for build cost, audit cost, vendor map cost, disclosure cost, and resilience trigger costs on a single visible line?

3. The Accountable Director: Is there a single, named director individually accountable? APRA put this in writing on 30 April 2026; every Australian board will be measured against it via D&O renewals and AGM scrutiny inside 12 months.

4. The Kill List: Is there a specific, measurable, owned, and calendar-dated point at which the board agrees to stop spending if the initiative isn’t tracking?

5. Execute the General Counsel Prompt Today

The cheapest version of stage one is a single prompt your General Counsel can execute against your AI tool inventory. Copy, paste below:

PULL EVERY SAAS TOOL, IN-HOUSE MODEL, OR THIRD-PARTY INTEGRATION IN OUR BUSINESS THAT USES PERSONAL INFORMATION TO MAKE OR SUBSTANTIALLY ANCHOR A DECISION AFFECTING AN INDIVIDUAL. THE THRESHOLD IS A "REASONABLE EXPECTATION OF SIGNIFICANT EFFECT ON THE PERSON'S RIGHTS OR INTERESTS." INCLUDE HIRING FILTERS, CREDIT SCORING, INSURANCE PRICING, CLAIMS TRIAGE, CUSTOMER SEGMENTATION, BENEFITS ELIGIBILITY, FRAUD DETECTION, AND ANY INFERENCE LAYER THAT DERIVES NEW DATA. FOR EACH SYSTEM ON THE LIST, NOTE: 
1. MODEL NAMED 
2. DATA INPUTS 
3. HUMAN OVERRIDE (EXISTS / EFFECTIVE / NEITHER) 
4. CUSTOMER-FACING OUTCOME. 

FLAG ANY SYSTEM WHERE THE HUMAN OVERRIDE LOOKS LIKE A RUBBER STAMP RATHER THAN A GENUINE REVERSAL. RETURN THE LIST IN TWO COLUMNS: THINGS WE CAN DISCLOSE IN PLAIN ENGLISH TODAY, AND THINGS THAT NEED WORKFLOW OWNER INPUT BEFORE DECEMBER.

Action Item: Hand this to your General Counsel this week. If the count comes back at 5 to 7, you are still in step 1. Run it again with the workflow owners in the room. The actual count is what you take to the board, and it is what your insurer will read at your October renewal.

6. What Lands on Your Desk This Week: The Executive Action Checklist

Immediate Operational Setup:

• The AI Prompt Check: Paste this entire newsletter into Claude or ChatGPT and ask it to map your company’s known automated decisions against the four data points.

• The Risk Pre-Read: Screenshot the Four Traps checklist and bring it to your next risk committee meeting.

Role-Specific Directives:

• If you’re a Chair: Request the finalised stage-one inventory from your General Counsel and CEO by 30 June. Set the formal cadence for the quarterly review now, rather than waiting for October.

• If you’re a CFO: Build the dedicated audit cost line directly into the next AI capital paper. Explicitly tie this spend to a 90-day baseline and a stage-gate you co-own.

• If you’re a General Counsel: Forward the GC prompt from Section 5 to your legal team today with instructions to return the two-column list by Friday. Block out 90 minutes the following week with your workflow owners to validate the real numbers.

• If you’re a CEO: Assign a specific member as the named AI literacy lead and brief the rest of the board to the same operational level. APRA’s benchmark enters your D&O renewal conversations regardless of readiness....

Before Friday: Can we name every automated decision in our business today, and can we prove our human override?

My question was: if someone in your organisation, human or AI, had been making unauthorised decisions for the last 30 days, how quickly would you know, and what is the blast radius? David’s board had passed its last security audit four months earlier.

That board is not unusual. Australian enterprise cybercrime has surged 219% year on year. CBA committed $900 million in FY2025 to fraud, scams, financial crime, and cyber threats. In that same year, AI-generated loan documents moved through their systems for months before the issue reached public disclosure, despite internal concerns surfacing well before the bank acted. By the time the bank disclosed the breach publicly, investigators had found another billion dollars in fraudulent loans"across all five major Australian banks.

When I sat down with Dan Mountstephen, Okta’s SVP and General Manager for APJ, the following week, he put it well- “AI is finding and scaling the weaknesses that were already inside the system”.

Your CISO can answer every question your board asks. That’s the problem.

The budget is a history book

Every line item in a security budget is a response to a previous incident, audit, or regulation. CBA’s $900 million in FY2025 was built to defend against credential theft, phishing, and external breaches. Nobody built a line item for AI-generated loan documents from a model that did not exist three years ago.

Boards ask their CISOs: “Are we covered?” The CISO answers the question.

Yes to endpoint protection.

Yes to the last audit.

Yes to identity governance.

The board moves on…..

Nobody asks what “covered” means, when the attack changes frequently and the document being faked is indistinguishable from the real one.

Every investment must pass a filter. Revenue. Cost. Time. Risk. The filter is only as good as the threat you name. Name the wrong threat, fund the wrong defence.

What the conversation with Dan kept surfacing

Dan had been with a bank in Singapore the day before we spoke. Their CIO told him the bank was running on static API keys because they could not afford to slow operations by routing every system connection through a request process.

A static API key is a “standing privilege”. It is the equivalent of a highly permissioned account running around the clock, attached to nothing visible in the directory, but owned by none.

For every human in a typical enterprise system, there are dozens of machine identities operating in parallel. Agents, service accounts, API connections, automated workflows. The majority have never been reviewed since they were created. Some carry permissions from projects that finished two years ago. Still active, still authenticated...

Where the budget is not looking

Firewalls matter. But they do nothing when the attacker logs in with valid access. Australian organisations now face an average data breach cost of $4.26 million, before you factor the inquiry, downtime, and the executive attention; it absorbs for months.

Take Sarah in accounts payable, pasting a supplier invoice into a free AI assistant before month close. Or Mark in procurement, feeding a tender document into a summariser that stores inputs for model training. Or the HR manager querying employee records through a tool, that hasn’t been approved by legal.

Every use of unsanctioned AI can create an unapproved data handling event, especially when staff paste in personal, commercial, or regulated information.

Most Australian organisations still cannot see what their employees are sending to unsanctioned AI tools. Dan’s position: banning shadow AI does not work. People find workarounds every time. The only approach that holds is to lean into it, make the sanctioned tools visible and governed, and to build policy around them.

The Badge Goes Back. The Access Stays.

Dan raised a point in our conversation that I want every executive reading this to take note.

When an employee leaves an organisation, the physical badge goes back. The cloud instances they spun up, the API tokens they created, the service accounts attached to their projects: most of those stay active. Nobody killed them.

The same accountability applies to AI agents. If your organisation deploys an agent, that agent needs a named human owner, recorded in the directory, accountable for everything it accesses. We need to apply the same rigour here as we do with any external vendor. You don’t need to know every technician on a contractor’s payroll, but you do require a single point of accountability who is on the hook for their conduct. AI agents are no different; if there isn’t a human ‘manager’ tied to the identity, there is no one to be held responsible when things go wrong.

Ask your CISO this week.

“Can you give me a complete list of every service account, API key, dormant account, and AI tool that has access to our customer data? Who is the named human owner of each one? When was each last reviewed?”

Put this on the next board agenda

How quickly would we detect unauthorised decisions made by a human, bot, or agent using valid access?

What is the blast radius if a service account, API key, or AI tool is over-permissioned?

Can management produce a complete inventory of service accounts, dormant accounts, API keys, and AI tools touching customer data, with a named human owner for each?

Australian governance

The ASD and AICD have made the board expectation clear for 2025-26: cyber risk should be a standing Board conversation, with specific questions asked and documented regularly. If your board is not doing that, you are behind published Australian Board guidance. The OAIC’s enforcement posture under the Privacy Act has sharpened. Unmanaged AI tool usage, particularly where data is processed by offshore providers without documented oversight, which is a live privacy risk.

Under APP 8, if your employees are sending personal information to external AI tools and you cannot account for where that data is processed, you may already have privacy exposure.

Their API keys, cloud access, and AI agents? Still running. Still authenticated. Owned by nobody.

For every human in your system, there are 82 machine identities. Almost none have a named owner. Most boards don’t know that number exists.

In February 2026, FIIG Securities copped a $2.5 million civil penalty for cyber failures. First case under AFSL. A third action against Fortnum Private Wealth is already in motion.

The ASD now mandates named risk questions at every committee meeting. Personal liability for directors isn’t a future scenario. It’s already arrived.

I finished up with News Corp on Thursday after nearly 9 years, leading commercial as GM, digital transformation across major portfolios and turning around a business in decline to deliver 160% growth, which taught me one thing: execution decides whether AI shows up in the numbers.

BCG found that 74% of companies using AI still haven’t produced commercial value. This is the current reality even across some of the most resourced organisations in the world.

The 26% who do produce returns share a pattern. They govern deliberately, rebuild workflows before turning the tools on, and hold someone accountable for a number before the rollout begins.

Last week I walked through the trap most pilots fall into. Today we name what sits underneath it. Four gates every AI initiative has to pass before it earns executive funding.

The four gates below came from that pattern showing up consistently over the last 15 years. Investments in the hundreds of millions, some that worked and some that failed, but the pattern is clear.

Yellow Pages is the right reference point

YP decided who existed in Australian commerce for decades. If your business wasn’t listed, you didn’t exist. At its peak, Telstra’s leadership looked at Sensis and saw a business that could rival Google.

“Google schmoogle” became one of the most quoted lines in Australian business history.

At its peak, Sensis carried an implied valuation of approximately $12 billion. By 2014, Telstra sold a 70% stake for $454 million. The floor disappeared in less than a decade.

I was inside that business during the transition, and close enough to watch what killed it. It was the delay between customer behaviour moving and the operating model responding. Separate print and digital teams ran in parallel, revenue still coming in, leadership still debating the size of the threat while it was already eating their lunch.

The same delay mechanism is operating in AI now. Customer behaviour moves first, operating models move later, and when the old model still makes money, leaders overestimate how much time they have…

What’s different about AI

Every time a new technology arrives, people reach for the nearest comparison.

• AI is the internet

• AI is mobile

• AI is electricity

• AI is cloud

These comparisons are not correct, and AI is not comparable to the internet or anything we have seen in history. Every previous technology was an extension of what humans could do.

• Tools extended our hands

• Machines extended our muscles

• Writing extended memory

• Computers extended calculation

• The internet extended communication

• Humans always supplied the intent

This is what makes the current moment unique. Everyone is relatively new to this, and Microsoft, PwC, and the Big Four are all still figuring it out. You need to build operating discipline around AI fast, regardless of size.

Scale sharpened the lesson

Media sits at the centre of almost every major operating pressure: customer attention, platform dependence, data, trust, markets, regulatory engagement, and commercial pressure on a short cycle. When you’re carrying a nine-figure P&L in a legacy institution under this level of pressure, you learn very quickly that a brilliant technological idea without an accountable operating model is just an expensive distraction.

Gate 1: The Filter (Which number moves?)

Which number moves? Revenue. Cost. Time. Risk.

If an AI initiative can’t connect to one of those four, it might be interesting. It might be worth exploring, it might impress in a demonstration…but it still isn’t ready to compete for serious executive attention.

I’ve sat in enough rooms where ideas sounded sensible on their own, but very few changed the number on the P&L. More reports, more dashboards, more process, and more activity is not bottom-line growth.

If an AI initiative doesn’t increase revenue, cut cost, compress time, or reduce risk in a way you can measure: slow it down. Strengthen the case. Or kill it.

2020 forced the second lesson

In 2020, I moved to QLD to take on a director position just as COVID hit. Almost by accident, I ran into GPT-3. The mainstream conversation about ChatGPT didn’t begin until late 2022. What I encountered two years earlier was raw and incomplete, but it worked.

I was operating with 50% less headcount, in a hiring freeze, against a market that was compressing. That year, we delivered 160% growth.

The first big win was using AI for market qualification and business development. I still remember the scream across the floor. “Ramon, it worked.” We generated $1.2 million in revenue from a segment we’d never been able to crack.

That’s when I became obsessed with how to connect this to a P&L outcome. The team needed to produce more with less, and the old way of working was too slow for the conditions.

AI earned its keep because it helped a team under pressure to produce more revenue, faster, with fewer resources. That’s where the second gate came from.

Gate 2: Work Rebuild (What stops?)

Eliminate. Automate. Reallocate.

What work should stop, what work should be automated, and where does the saved time go?

After the $1.2M scream we tried to scale it across the floor with the same prompt and the same tool, and within six weeks it was breaking. One of my reps walked into my office and told me we were slower than before, and I didn’t believe her at first because the AI was producing five times the lead volume.

She walked me through it. The leads were piling up in a qualification queue waiting for her manager to sign off on each one before they went out. The AI had compressed the front of the workflow but the back of the workflow hadn't moved an inch."

This moment taught me more than the scream.. We sat down the next day and rebuilt the workflow itself, eliminated three steps, automated two, and reallocated the manager’s time to coaching the reps on the leads that were converting. Cycle time dropped 60% and conversion came back.

Many organisations get this wrong because they automate too early, putting AI on top of an existing broken workflow and then wondering why the time savings disappear into review, rework and confusion.

McKinsey’s research is clear that workflow redesign is one of the strongest predictors of EBIT impact from generative AI, yet only 21% of organisations say they’ve fundamentally redesigned at least some workflows.

The ledger tells the truth

By my early thirties I was sitting in rooms where the decisions carried weight, reporting into the board and Managing Director. Funding calls in the millions, restructure decisions that affected hundreds of people, commercial commitments that had to clear a board.

What changed in those rooms wasn’t the topic, it was the standard. Every initiative competed with every other use of capital, management attention, and risk appetite. Ideas did not get funded just because they were interesting. They got funded when ownership was clear, risk was understood, and success could be measured before anyone signed off.

I sat through a pitch for a new platform. It was “best in class”. The vendor flew in, two of our competitors were already using it, and the references were strong. The internal team had spent three months on the case and the demo was good.

I asked one question. What will the business do differently next quarter with this platform that it can’t do with the current one? Nobody could answer. The platform was better but the business case wasn’t there, so we didn’t fund it. The ledger always tells the truth.

If you can’t name the baseline, the owner, the budget line, and the decision rule, you’re not yet ready to move beyond a pilot. You’re still exploring. Exploration is fine, but don’t call it strategy.

McKinsey found that CEO oversight of AI governance correlates with higher bottom-line impact from gen AI. Yet only 28% of organisations say the CEO oversees AI governance, and only 17% say the board does. This is where the third gate came from.

Gate 3: Ledger Before Launch

Start with the ledger.

What’s the current baseline? Which budget line changes? Who owns the result? What’s the stage-gate? What happens if the number doesn’t move?

Tie every initiative to a revenue or cost position. Name the owner before the rollout begins. Agree on the decision rule that determines whether the initiative expands or stops. Without the structure, investment spreads quietly. One team buys a tool, another runs a pilot, another builds an internal workflow, and nobody can clearly tell the board what changed in the P&L.

Adoption is where theory goes to die

We rolled out a new CRM across the sales team, six-figure investment. Full training program, launch emails with the whole playbook.

Six weeks in I asked one of my best reps how she was finding it (let’s call her Mary). She showed me her notebook and was still using it for pipeline management. The new system took her three extra clicks to log a call, and nobody two levels up was using it either.

The tool was good. The workflow around it was worse than what Mary had before. So she didn’t use it. Adoption is the decision itself. Many leaders treat it as something that happens afterwards, and by then the strategy has already failed.

If the frontline doesn’t understand the change, trust it, use it, and know when to escalate, the strategy is not real. Behaviour changes when the workflow changes, when ownership shifts, and when leaders two levels up are using the new system themselves. Licences, training sessions and launch emails on their own change very little.

BCG’s 10/20/70 rule holds: roughly 10% of AI success comes from data science, 20% from technology, and 70% from people, process, talent and change management. Yet AI investment is still weighted toward the first 30%.

Let me be clear: everyone needs to use AI. This is a new way of working that requires org redesign.

Gate 4: Boardroom to Frontline (Who carries it?)

This gate is the 10/20/70 rule applied. Rollouts fund the first 30% and assume the rest sorts itself out. It doesn’t, we saw that with Mary.

The fix isn’t appointing an AI champion and walking away. That gives the rest of the organisation a free pass to opt out. AI literacy is a company-wide mandate, from the CEO to the frontline, and the burden sits at the top. This is where CEOs get caught in the CTO trap. A CTO should own security and compliance, but business model changes belong to the CEO and the P&L owners. If the CEO doesn’t understand and use AI themselves, the organisation will never scale it.

Adoption is people using a tool, absorption is the business operating differently because of it. For absorption to land, every layer has to know what it owns:

• The board: which AI decisions it’s accountable for

• The CEO: which operating model changes the business is prepared to make

• The CFO: where the financial value lands

• The COO: which workflows change

• The General Counsel: what gets approved, audited, and evidenced

• Managers: what gets reviewed or escalated

• The frontline: what changes tomorrow

Why Applied AI Australia exists

In conversation after conversation with Australian executives, the pattern has been consistent. Strong interest, fragmented experimentation, and unclear ownership, with very little shared language for deciding what to fund, what to govern, what to stop, and what to push into production. Operating discipline is the gap.

I built Applied AI Australia because I got tired of watching smart executives get sold vague AI strategies that never touched the P&L, with pilots that never reached production and decks that never changed the bottom line. Millions spent on innovation theatre while the operating model stayed exactly where it was.

The standard for this work is simple: if the work doesn’t drive an outcome, it isn’t applied. Technical specialists and large advisory firms both have real roles in helping organisations get AI to work, but for most executive teams the binding constraint sits in the operating layer. Getting the technology is the easy part, and the operating discipline around it determines whether any of it shows up in the P&L.

Hiring an engineer to solve a commercial AI problem is like hiring a metallurgist to drive a Formula 1 car. They may understand the engine block better than anyone, but that doesn’t mean they can win the race.

Translating AI into accountable decisions, redesigned workflows, governed risk, and measurable business impact is a commercial execution job that requires someone who has carried a P&L. What executives should do this week

Take your current AI list into the next executive meeting. Run every item against the four gates above.

If you can’t name the number moving, the work that stops, the baseline and owner, and who carries it from boardroom to frontline, the initiative isn’t ready for serious funding.

Mark it as exploration. Tighten the case. Or kill it.

They had already approved an AI pilot, and on the surface it looked like it was working. The model summarised tenders, drafted responses, pulled numbers out of spreadsheets, and surfaced patterns faster than the team could do by hand. If you watched the demo in isolation, you would have called it a success. But nothing moved on the P&L.

The easy answer was to blame the model and move on.

The model was doing what it had been asked to do, but the business around it had not changed enough to absorb the output. Quotes still waited for review, managers still checked the same steps, legal still touched work that should never have reached them, and sales still carried the same bottlenecks, just with better drafts sitting upstream.

That is the trap more executive teams are running into now. The first phase of AI was about proving the tools could produce something useful. The next phase is less glamorous and much more commercial. It is about deciding who checks the output, what gets sampled, what goes straight through, which task disappears, which cost line moves, where saved time goes, and who owns the error when something plausible but wrong gets through. If those answers are vague, the pilot does not scale. It just creates more work for the same people to review.

A recent paper from Hyunjin Kim, Dahyeon Kim and Rembrand Koning helps explain why. In Mapping AI into Production: A Field Experiment on Firm Performance, the researchers studied 515 high-growth startups and found that firms shown how other companies reorganised production around AI discovered 44% more AI use cases, completed 12% more tasks, were 18% more likely to acquire paying customers, and generated 1.9x higher revenue. Same technology, different result.

AI pilots are still built to answer a question that mattered two years ago: can the model produce the output? That was useful when the technology itself was uncertain. It is not enough now. In most white-collar workflows, AI can already produce something useful, whether that is a claims summary, a sales email, a contract comparison, a board pack draft, a policy check, or a research brief.

But my question is whether the organisation can stand behind the output once it exists. Can it be checked quickly enough to matter? Can it be trusted often enough to remove manual work? Can it be governed without turning managers into permanent quality control? Can it move a ledger line the CFO will recognise? Can it remove work, or does it just create more work for people upstream to inspect?

This is where the gap starts to open - the CEO sees speed, the CFO asks where the saving lands. The COO asks which workflow changes. The GC asks who owns the risk. The frontline asks whether they still have to check everything. Nobody has a clean answer, so the pilot stays alive in the worst possible state: not dead, not scaled, just drifting…..

I’m seeing this pattern more often now. The AI works well enough to create momentum, but the organisation has not redesigned the work around it. AI business cases make the same mistake here. A team says it can generate 1,000 customer summaries a day, which sounds impressive until you ask the right questions. Who checks them? What gets sampled? What gets escalated? What goes straight through? What error rate is acceptable? What happens when a plausible error gets through? Which human task disappears? Which cost line reduces? Where does the freed capacity go? If those questions are unanswered, the ROI is not real yet.

This is also how AI creates false confidence inside the business. The dashboard shows more output, the team feels faster, and the vendor declares the pilot a success, but managers are now reviewing twice as much work, legal gets dragged into edge cases, operations handles exceptions manually, and finance still cannot see the reduction because the old workflow stayed intact and AI just sat on top of it.

This is why I still come back to the same four commercial doors: revenue, cost, time, or risk. If a pilot does not increase revenue, reduce cost, compress time, or materially reduce risk, it should not survive the funding conversation. If it does pass that filter, the next question is simple: which line moves?

Not productivity….

Not efficiency……

Not better experience…..

Name the line on your P&L. A customer service summary tool should reduce handling time, improve first-contact resolution, cut after-call work, or lower complaint risk. A sales assistant should increase proposal volume, improve response speed, or free rep time for live opportunities. A contract review tool should reduce legal backlog, surface risk earlier, or compress approval cycles. If the use case cannot attach cleanly to one of those outcomes, it is not ready for production funding. It may still be interesting, but that is not enough.

Teams automate before they eliminate, and then never reallocate. AI does not create operating value until someone removes the old work. If the same report still gets written, reviewed, reformatted, checked, discussed, and approved by the same people, the business has not changed. It has simply added AI to the congestion. The order matters. First remove the step AI makes unnecessary. Then automate what still needs to happen. Then reallocate saved time and judgement to where it still earns its keep, whether that is approvals, exceptions, negotiations, customer moments, risk calls, commercial decisions, or coaching.

If AI saves a manager eight hours a week and those eight hours vanish into more meetings, the business got nothing. If those hours move into coaching the frontline, calling at-risk customers, or fixing a root-cause process issue, this is case that survives scrutiny.

A successful pilot often creates the next bottleneck, which is why human oversight is not a strategy in itself. It is a design choice. What gets checked? What gets sampled? What gets approved automatically? What gets escalated? Who owns the final call? What evidence is retained? Which decision rights change?

If you want a practical test before the next steering committee meeting, run one pilot through five questions.

1. Which revenue, cost, time, or risk line is it meant to move?

2. What baseline are you using?

3. Which step disappears if the pilot works?

4. What gets approved automatically, and what still needs review?

5. Where does the saved capacity go if the pilot succeeds?

If the team cannot answer those in plain English, the pilot is not ready for scale.

That is also the point where I need to touch on governance - if the workflow touches customer outcomes, employee decisions, privacy-sensitive information, or a regulated approval path, the approval model has to be mapped before scale. Under the Privacy Act and current OAIC guidance on commercially available AI, the business deploying the workflow still owns the decision path, the recordkeeping, and the accountability if something goes wrong. You do not wait until rollout to ask who signs off, what gets retained, which exceptions become legally material, and what evidence the board will want when something inevitably goes wrong. Before Friday, take one stalled AI pilot and write this sentence for your CFO:

If you cannot write that sentence in under three minutes, do not scale it. Reset it, kill it, or redesign the workflow until the sentence becomes true.

Halfway through, the General Counsel beat me to my own question.

“Ramon, which of the twenty-seven products are making decisions about our customers?”

The room went quiet. Including the GC. I was going to ask for their audit trail. They were asking me for the map.

Going in, her team thought they had five to seven automated decisions in scope. We walked out with thirty. I’d seen this gap before on two other portfolios. I hadn’t seen it this wide.

From 10 December 2026, the silence can cost up to $50 million per serious breach.

Boards know the vendors. They can’t name the decisions - APP 1.7.

Visibility before disclosure.

Australian enterprises have vendor lists, they don’t have decision maps. “Workday” and “what Workday decides” aren’t the same thing. One’s a logo on a procurement list, the other’s a set of customer outcomes the law will hold you accountable for.

1. What Part 15 requires

The Privacy and Other Legislation Amendment Act 2024 inserted three new subclauses into Australian Privacy Principle 1: APP 1.7, 1.8, and 1.9. All three commence 10 December 2026. The statute’s on legislation.gov.au at C2024A00128, Schedule 1, Part 15. OAIC has confirmed the obligations apply to every decision made from that date, regardless of when the system was bought or when the data was originally collected. Legacy systems are in scope.

The statutory trigger, in its own words. APP 1.7 applies where an entity has “arranged for a computer program to make, or do a thing that is substantially and directly related to making, a decision” and that decision “could reasonably be expected to significantly affect the rights or interests of an individual,” and personal information is used in the program’s operation.

Executive translation: If the program’s output anchors the outcome, and personal information goes in, you’re disclosing. Hiring filters. Credit scoring. Claims triage. Customer segmentation that changes what someone’s offered or paid.

Two things about the trigger matter, that you likely missed:

First, “computer program” is deliberately broad. The Explanatory Memorandum is clear the test is technology-neutral. It’s about whether a computer program is making or substantially driving a decision using personal information, not whether the vendor calls it “AI.” A FICO scoring engine, a SAP configuration rule, a Workday resume-screener, and a GPT-5 copilot are all illustrations of the same principle.

Touch personal information, influence a material decision, you’re in scope. There’s no “it’s just automation, not AI” exemption.

Second, “substantially and directly” catches human-in-the-loop. The EM and OAIC guidance explain this as covering cases where the automated element is a key factor in facilitating the human decision. If the human wouldn’t reasonably have reached the same decision without the model’s score or recommendation in front of them, treat it as captured. The rubber stamp will not get you out of the disclosure.

The numbers that matter to your board look like this. Three tiers, broadly.

1. Serious interference (s 13G): up to the greater of $50 million, three times the benefit, or 30% of adjusted turnover. Less serious interference

2. (s 13H) caps at 2,000 penalty units, approximately $3.3 million for bodies corporate at current penalty-unit values. Administrative contraventions

3. (s 13K) support infringement notices the Commissioner can issue without going to court: roughly $19,800 per contravention for bodies corporate, and $66,000 for listed corporations.

The Act doesn’t hard-code a tier per APP. In practice, an isolated APP 1.7 disclosure failure is likely to land in the lower-tier administrative bracket. But a disclosure failure that forms part of a serious or systemic interference can still attract s 13G.

The OAIC has proved it’ll use these powers. The first-ever civil penalty under the Privacy Act came down on 8 October 2025: Australian Clinical Labs, $5.8 million plus $400,000 in OAIC’s costs, for a 2022 breach affecting over 223,000 individuals. That case was calculated under the previous maximum of $2.2 million per contravention. The current s 13G cap is $50 million.

You arranged it. You disclose it. The vendor doesn’t carry this for you.

2. The three myths Australian boards are still betting on

Same three assumptions come up every time. Each one’s wrong in a different way.

Myth 1: “Our vendor handles disclosure.”

I spoke with an exec at an Australian energy company last month. They’d just publicly announced $15 million to become an “AI-first” organisation. They had no idea APP 1.7 was coming. Their whole roadmap was built around vendor platforms they assumed would handle the compliance layer for them. They won’t.

Two boards I'm sitting with this quarter are asking the same question. Only one can produce the map.

APP 1.7 fires on the entity that “arranged for” the program. The Explanatory Memorandum is explicit: the arranger remains responsible even when the program is operated by a different entity.

Again - You bought it. You deployed it. You disclose it. The vendor doesn’t.

This matters because enterprise AI in Australia runs inside third-party products more than anywhere else. Salesforce Einstein ranks customer leads. Microsoft Copilot drafts hiring feedback. Workday filters resumes. FICO generates credit scores. Guidewire triages insurance claims. Each is a black box that influences a decision about a customer, and each is the arranger’s disclosure problem, not the vendor’s.

European courts have already signalled where this goes. Schufa (CJEU C-634/21, Dec 2023) indicated that where a downstream user relies heavily on a vendor’s score, the scoring itself can amount to automated decision-making. Dun & Bradstreet (CJEU C-203/22, Feb 2025) indicated that trade-secret arguments don’t extinguish the obligation to provide meaningful information about the logic. Persuasive analogies, not binding authority. The Federal Court won’t ignore them when Part 15 cases start arriving in 2027.

The practical consequence: your vendor contracts almost certainly don’t give you what you need. AI SaaS agreements in use today claim broad data-usage rights and offer little or no IP indemnification. They were written for a world where the customer was the buyer and the regulator was elsewhere. From 10 December 2026, the customer is the buyer, the regulator, and the liable party….

Myth 2: “We have a human in the loop.”

This one sounds safer than it is, boards reach for “human-in-the-loop” because it feels like the AI’s just advising, and the human carries the judgement. The law doesn’t read it that way.

The EM and OAIC guidance explain the “substantially and directly” limb as covering cases where the automated element is a key factor in facilitating the human decision. If the AI’s output is what the human’s anchoring on, the decision is captured.

The wrong test is- “did a human sign?” Correct: would the human have reached the same conclusion without the score, the recommendation, or the ranked list in front of them? If the honest answer’s no, you’re disclosing.

When we ran the rubber-stamp test against my client’s workflow, that’s when it moved from seven decisions to thirty. Credit callbacks a human approves after the model flags them. Claims triaged by an AI and confirmed by an adjuster in under two minutes. Performance reviews drafted from system data and lightly edited before sign-off. Hiring shortlists the recruiter signs off on without re-scoring. Every one of those is a decision the AI made, with a human providing compliance cover that doesn’t exist in the statute.

The GC asked me afterwards how we’d found thirty when her team had found seven. We started with customer outcomes, then worked back from there.

Myth 3: “It’s proprietary, so we don’t have to map it.”

Makes it worse, not better. “Proprietary” isn’t a shield once the decision affects a customer. The regulator doesn’t care who built the logic. They care who deployed it.

The ACL case made this concrete. ACL argued it was reasonable to rely on a third-party security provider. The Federal Court noted that “overreliance” on third parties is itself a breach of APP 11.1.

The same reasoning will apply under APP 1.7. “Our vendor won’t tell us how it works” isn’t a defence. It’s a procurement failure the deployer owns.

There’s a narrow protection for commercial-in-confidence information, but it lives in the Explanatory Memorandum, not the statute. It’s untested. No Australian court has ruled on how far it extends. The OAIC’s enforcement posture, demonstrated in the ACL penalty and the January 2026 sweep of approximately 60 organisations under APP 1.4, is signalling it’ll test these new powers in public.

3. The 90-day decision-path audit

We need to map every decision that affects a customer and connect it back to the systems that influenced it. Do not start listing every AI tool.

Four steps. Run this sequence or the map will have holes.

Step 1. Start with customer outcomes, not systems. List every decision your organisation makes about a customer, employee, or counterparty that could reasonably be expected to significantly affect their rights or interests. Hiring filter yes or no. Credit outcome. Loan amount. Premium price. Claim approved or denied. Product eligibility. Price shown. Offer made or withheld. Benefit granted or refused. Termination. Promotion. Performance rating. Every entity will have fifteen to fifty of these before you’re done. Write them down first. Don’t touch the tech yet.

Step 2. Trace each decision backward to the systems that influence it. Every outcome I’ve mapped so far has three to five touchpoints. A credit callback runs through a CRM trigger, a vendor scoring model, an internal rules engine, and a team leader’s override. A hiring shortlist runs through an ATS filter, a recruiter screen, and an interview panel fed a scored ranking. Map every step. For each step, note whether the system uses personal information.

Step 3. For each system touchpoint, answer three questions. Does it use personal information (yes or no)? Is the automated output a key factor in the decision (yes or no)? Do you have contractual transparency and audit rights over the logic (yes or no)? You now have a matrix with three flags per row.

Step 4. The gaps are your remediation list. Any row where the first two flags are yes and the third is no is a disclosure exposure you’ll have to close before 10 December 2026. Renegotiate the vendor contract, replace the vendor, or remove the system from that decision path.

One caveat the audit can’t solve on its own - I have been advising clients on this for the last 12 months. Many AI systems, especially LLM-based ones, don’t preserve their own decision trail. Non-deterministic outputs. No constraint lineage. You’re not only mapping what decisions happen. You’re mapping what the system can even remember. Where the system doesn’t preserve state, you’re describing outputs after the fact, not logic. Flag those rows separately. The regulator will ask.

Plan for eight to sixteen weeks of elapsed time for a first-pass map in a $50M to $2B enterprise. Longer if you’ve got significant shadow AI or multiple SaaS layers. Start now. It’s 20 April 2026. You’ve got 234 days.

Start with what affects customers. Work backward to systems. Flag what the system doesn’t preserve. That’s the only audit that survives a regulator.

Copy-paste. Each one serves a different stakeholder. Escalating difficulty.

Do not hedge. If you cannot answer a section honestly from the
inputs I gave you, say "insufficient information to assess" and
list what I would need to provide.

Australian governance position

Part 15 doesn’t stand alone. OAIC, ASIC, ACCC, APRA, the DTA, and the Fair Work Commission are all pulling on the same thread: you can’t deploy AI across the enterprise and pretend it’s “just IT.”

OAIC has already used its s 33C powers to review privacy policies at scale. The January 2026 sweep of approximately 60 organisations under APP 1.4 was the dress rehearsal. Privacy Commissioner Carly Kind has signalled AI and automated decision-making transparency as a 2025-26 focus. The same mechanism applies to APP 1.7 from December.

ASIC published Report 798 Beware the Gap: Governance arrangements in the face of AI innovation on 29 October 2024, reviewing 23 AFS and credit licensees. It concluded governance was lagging adoption. Technology-neutral obligations under the Corporations Act, directors’ duties, and the ACL already apply. Financial services licensees don’t get to wait for Part 15 to care about AI governance.

ACCC filed proceedings against Microsoft in October 2025 over Copilot subscription pricing disclosures. The first major AI-washing case in Australia.

APRA CPS 230 (Operational Risk Management) commenced 1 July 2025 for significant financial institutions. Its third-party and operational-risk obligations are already being used to police AI procurement in banking and insurance.

DTA already requires Commonwealth agencies to maintain an AI Transparency Statement and an internal AI use case register. From 15 June 2026, a mandatory AI Impact Assessment applies. If you service Commonwealth agencies, they’ll ask about your equivalents. Public sector is already in scope.

Fair Work Commission is scrutinising algorithmic hiring tools and has published its own AI transparency guidance.

The vacancy problem in one number

337,900 unfilled vacancies across professional and administrative categories in Australia at the time of writing this. Jobs & Skills Australia, February 2026. Goldman Sachs Global Investment Research, March 2026: 46% of administrative and support tasks are directly exposed to AI automation.

Two forces on the same spreadsheet. Roles you can’t fill, and tasks inside those roles that no longer need a person.....

I ran a task audit on five common mid-market roles across four client portfolios. The pattern repeats: 6 or 7 out of 10 tasks scored as work an agent can handle today. This is the aggregate gap between what you’re paying and what the redesigned version costs: $427,000 across five positions. This is modelled from Robert Half and Hays 2026 salary benchmarks, real tool costs, and the recruitment/onboarding overhead that we forget to mention in the business case.

I approved a backfill last year without reviewing the workflow. $160K, straight to market. Took six weeks to fill, three months to ramp. By month four, the person was doing work a scoped agent now handles. I wrote about it last week. This article is the playbook I wish I’d had before I signed the req.

Why the ratio is higher than you expect

Most I’ve run this with guess their own ratio at 1 or 2 tasks out of 10. It’s usually about 3 or 4. I audited my own week earlier this year. Three of my ten tasks were pattern recognition that an agent now does.

For mid-market operational roles, the ratio jumps to 6 or 7 out of 10. The reason is structural. An executive’s week is weighted toward judgement, relationships, and accountability (score 3 tasks). An operational role’s week is weighted toward data processing, report formatting, template drafting, and system updates (score 1 tasks). The person in the role isn’t less valuable. The job description is overloaded with work that doesn’t need a human brain anymore.

The scoring system

Start with the person’s calendar, inbox, CRM or HRIS, finance system, ticketing tools, project board. Watch what they actually do for a week. List actual actions using verbs: pulls, reconciles, drafts, schedules, updates, reviews, responds, formats, tracks, advises.

Then score each task:

Score 1 (Agent) if the work is rule-based pattern recognition or data processing that an agent handles start to finish. Bank reconciliation. Report formatting. Data entry. Template-based drafting. Contract generation from templates. Scheduled report distribution.

Score 2 (Hybrid / Human In The Loop) if an agent does the groundwork but a human decides, approves, or interprets. Policy drafts that need legal review. Cash flow models where a human sets assumptions. Board packs where the narrative requires board-level framing. Recruitment screening where a human makes the final call.

Score 3 (Human) if the core of the task is relationships, accountability, negotiation, sensitive judgement, or physical presence. Grievance management. Client trust. Team coaching. Strategy calls. Anything where being wrong has legal, reputational, or relationship consequences.

If 6 or 7 out of 10 score 1 or 2, you’re looking at a redesign.

The cost formula

Every role comparison in this document uses the same model. “Full first-year hiring cost” means everything you actually spend to get a new person productive, not just salary.

Old year-one cost (i.e. the full first-year hiring cost) = salary + super + recruitment (typically 15% of salary) + onboarding (typically 10%) + productivity loss (first 90 days at ~50% output).

Redesigned cost = compressed salary for the redesigned role + annual agent/tool stack cost.

Gap = old year-one cost minus redesigned cost

These are modelled examples. The savings shrink if the current person is already operating mostly at score 3 tasks. They grow if the role is heavier on process work than the benchmarks suggest.

Role 1: Management Accountant ($100-120K + super)

Salary benchmark: Robert Half 2026 Salary Guide, Australia. Midpoint in Melbourne and Sydney: $105-115K. MIT and Stanford researchers, published through NBER in 2025, found that accountants using AI tools closed books 7.5 days faster on average and took on additional clients without additional headcount.

Redesigned: The data-heavy prep work compresses. CFO advisory, assumption-setting, and coaching. The agent stack handles reconciliation, register maintenance, and the data-heavy prep work that used to eat three days a week. This only works if your MA is spending three days a week on tasks 1, 6, and 7. If they’re already operating at the advisory end, the compression is smaller.

Role 2: HR Advisor ($85-100K + super)

Salary benchmark: Robert Half 2026 Salary Guide, Australia.

Deloitte’s Global Human Capital Trends, the number Australian HR leaders keep citing back to me: 57% of HR professionals’ time is spent on administrative tasks. That stat matters here because it means the average HR Advisor is spending three days doing agent-grade work and two days doing the job they were actually hired for.

Task-by-task audit

Redesigned: Six of ten tasks can be fully automated, with tools already deployed in Australian enterprise. Yale SOM’s study on AI-human hybrid recruitment found that hybrid approaches improved workforce quality by 67% compared to random selection. The human judgement on tasks 9 and 10 matters more when the routine work is gone. You want your HR advisor spending their week on grievances and Fair Work interpretation, not updating spreadsheets.

Role 3: Marketing Coordinator ($70-90K + super)

Salary benchmark: Hays Australia 2026. Validated by Diego Mogollon‘s VentureCrowd case study (6 people to 1).

Three months ago I sat with a Melbourne CFO who’d budgeted $110K for a marketing manager. We listed every task. Ten tasks. Took 20 minutes. Seven were pattern recognition. She didn’t cancel the hire, but did refine it. Salary dropped to $55K. Agents handle the other seven for $240 a month. Output hasn’t changed.

Role 4: Executive Assistant ($70-100K + super)

Salary benchmark: Hays Australia 2026.

This is the role that gets personal....The EA sits next to the executive who’s reading this.

Task-by-task audit

Redesigned: This frees the EA to spend their week on tasks 9 and 10 instead of three hours a day on scheduling conflicts. Most good EAs already want this. They’re stuck in process work because nobody rebuilt the workflow around them. This only works if your EA is spending most of their week on process tasks. If they’re already operating as the executive’s gatekeeper, the compression is smaller.

Role 5: Business Development Manager ($90-120K + super + commission)

Salary benchmark: Hays Australia 2026. Commission noted separately.

This is where I started my career. Fourteen years in commercial leadership. I know what BDMs do with their days because I’ve managed hundreds of them.

Task-by-task audit

Redesigned: Highest human-task count in the set. Sales relationships, deal negotiation, and client trust are the last things to automate, but the prep work is six tasks eating 60% of the week.

The aggregate numbers

Multiply by your turnover rate. A 600-person organisation at 20% turnover makes 120 vacancy decisions a year. If a third should have been redesigns, that’s 40 roles at an average gap of $80K. $3.2 million that nobody audited. At 2,000 people, it’s north of $10 million. Do your own numbers.

The agent stack architecture

Redesigns use the same four layers. The tools change by role, but the architecture is consistent.

LLM layer: Claude Pro ($20/mo) or Claude Teams ($25/user/mo) for reasoning, drafting, and extraction. Claude Projects for persistent context (finance data, policy docs, brand voice, proposal templates). Claude API via n8n for scheduled automated workflows.

Workflow and orchestration layer: n8n ($20/mo self-hosted or cloud) for connecting systems and triggering actions. Alternatives: Zapier, Make. n8n wins on flexibility and cost for mid-market.

System-of-record layer: Xero/MYOB (finance), Employment Hero (HR), HubSpot (CRM/marketing), Google Workspace or Microsoft 365. The agent stack reads from and writes to these systems.

Human approval and governance layer: Every workflow has a point where a human reviews, approves, or escalates. Score 2 tasks always land here. Score 1 tasks run autonomously but with exception handling routed to a human.

The typical cost: $150-250 per month per role, depending on tool complexity. That’s the number used in the cost models above.

The audit method (for any role)

Copy and paste this into Claude or ChatGPT. The output is a first-pass redesign brief you can bring to your next vacancy meeting.

I'm evaluating [role title] at [salary] in [industry] for potential redesign. List the 10-12 specific tasks this role performs weekly. Use action-level language: not "manages reporting" but "pulls data from [system], builds variance report, emails to [stakeholder] by [day]." For each task, score:

1 = Pattern recognition or data processing (agent handles start to finish)
2 = Requires judgement but includes repetitive steps (human + agent)
3 = Requires relationships, accountability, or physical presence (stays human)

For each task scored 1 or 2, name the exact tool stack (specific software, not categories) that handles it in an Australian mid-market context. Then show: 

Which tasks to automate first (score 1) 
Which to run as hybrid in months 1-3 (score 2)
Which to protect from automation entirely (score 3)
The redesigned job description (score 2 + 3 tasks only)
Cost comparison: old role (salary + super + recruitment 15% + onboarding 10% + productivity loss 90 days at 50%) vs redesigned role + agent stack at $200/mo
Role: [insert] Industry: [insert] Current salary: $[insert]

Where this breaks

I’ve tested every stack in this article. What went wrong is below:

Claude Projects hallucinated a Fair Work clause that doesn’t exist. I’d uploaded the actual Act, but when the query crossed two different Modern Awards, Claude blended provisions from both and cited a section number that was plausible but fabricated. NotebookLM caught it because it only answers from uploaded sources. That’s why the HR stack uses both: Claude drafts, NotebookLM verifies.

Employment Hero’s onboarding automation missed a Modern Award edge case for a part-time employee transitioning to full-time. The workflow treated it as a new hire - it was a contract variation. Took me 10 minutes to catch, but if it had gone through unreviewed, the contract would have been wrong.

Xero’s auto-reconciliation matched a supplier payment to the wrong invoice because the amounts were identical and the references were one digit apart. Exception handling flagged it, but only because the n8n workflow was configured to hold anything above $5K for manual review. Without the threshold, it would have posted clean.

Lindy AI booked a meeting across two time zones and got the offset wrong by one hour - damn daylight savings!

You need a human in the loop on score 2 tasks and to build exception thresholds into score 1 workflows. The stacks are 80-90% there. The remaining 10-20% is the judgement calls that justify the redesigned salary. Note: I wrote this conservatively. There’s much more that can be done, and after going through it again today, I’d be more aggressive, but this is a good place to start.

I sat with Diego Mogollon from VentureCrowd recently, his marketing team went from six people to one. His tech team is 60% smaller than two years ago. Development is 90% faster. He did this inside an AFSL-regulated business with $440 million raised and 79,000 registered members.

I approved a backfill last year without reviewing the workflow. Took six weeks to fill, three months to ramp, and by month four the person was doing work that a scoped agent now handles. That hire cost more than $150K in year one. The redesign would have cost a half-day and a $30/month subscription.

That was one role. I’ve since run the same review across three client portfolios. The pattern compounds.

Roles are collapsing. Job titles haven’t caught up.

Diego’s marketing team didn’t shrink from six to one because he fired five and kept the best marketer. One person with the right agent setup now covers the workflow that used to need six. A designer who’d never written code is pushing to production through Slack.

I’m seeing the same pattern across clients. A sales rep at one org built their own pipeline dashboard last month instead of waiting three weeks for BI to queue it. A marketing coordinator at another is running competitive analysis that used to sit with the strategy team. Finance analysts developing investor decks without a designer or copywriter in the loop. It’s not just ICs. I sat with a COO in Jan who built his own workforce planning model in Claude instead of briefing it to his Head of FP&A. Took him 40 minutes.

Each of those examples used to be a two-role or three-role workflow. Now it’s one person with agent support. You’re not filling a job title any more. You’re filling a workflow, and the workflow might need a completely different skillset than the job ad you posted last time. Diego found volunteers inside his existing team who could absorb broader scope once the tools changed. He would have missed every one of them if he’d gone straight to a job board.

ABS data released this month shows 337,900 jobs sitting vacant across Australia in February 2026, the highest level in over a year. AHRI tracking shows one in three Australian businesses operating with staff turnover above 20%. That’s a lot of vacancy decisions being made on autopilot, while the economics of the work underneath are shifting.

McKinsey estimates disengagement and attrition cost a median S&P 500 company US$228 million to US$355 million a year. Quiet quitting alone costs nearly as much as actual turnover. Yes this is US large-cap data, but the pattern holds here: bad workflows get expensive before anyone resigns, because you pay for the inefficiency first and the replacement second.

Diego’s operating blueprint

When someone leaves, Diego doesn’t automatically replace the role. He runs a redesign review first, using three questions in an order that forces clarity:

1. What can an agent handle?

2. Who can upskill into this?

3. What can we redesign entirely?

Vacancies are now a capital allocation decision. Diego walks through how he runs this, including how he onboards each agent, on the episode.

1. The backfill reflex is more expensive than it looks

The old reflex feels safe because it preserves the structure. Someone leaves, the team feels the gap, finance approves the replacement, and the org chart survives another year. A $90K role doesn’t cost $90K. AHRI data puts the true replacement cost at about 1.5x annual salary once recruiting, onboarding, and lost productivity are counted. That puts a $90K role closer to $135K to $160K in year one. If the workflow genuinely needs a person, hire the person and do it fast. If the workflow should have been redesigned, the backfill becomes cost carry that gets mistaken for capacity.

Is the gap between these two numbers big enough to justify 2 days of redesign before approving the req? If the answer is yes for even one role this year, this review pays for itself.

Drop this into your next vacancy decision. Fill in the numbers. Show the comparison to your CFO before the req gets signed. Now multiply that by every backfill your team approved this year without reviewing the workflow. A 200-person org at 20% turnover makes 40 vacancy decisions a year. If half should have been redesigns, that’s 20 roles you waved through as backfills. If each one carries roughly $150K in year-one cost, that’s a $3M decision set nobody audited.

2. Hiring is often the slowest way to recover capacity

The hidden cost in the old model isn’t just salary. It’s time. SHRM’s median time-to-fill is 44 days, and that’s before notice periods, onboarding, and ramp. The traditional recovery path is slow by design. Start by mapping the work. Separate the parts that need judgement from the parts that need process, then work out what can be automated, what can be absorbed, and what should be rebuilt entirely. In VentureCrowds case, projects that used to take months are getting done in two weeks. In most businesses, cycle time is where margin disappears, slow decisions and slow execution compound in ways payroll never shows you....

If hiring is your default answer to every capacity problem, you pay twice. Once in salary, and again in speed...

3. This only works if risk stays controlled

VentureCrowd operates under AFSL regulation. The cost of getting customer or investor communication wrong cannot be overlooked. Diego’s view: guardrails come first, before agents go anywhere near customers or investors. ⚠ Governance note

My recommendation: keep a human in the loop. Worst case, you’re approving work that needs coaching. The 2026 version of continuous improvement.

Before Friday:

• Pull up the last role your team backfilled.

• Run the Backfill Cost Calculator on it retrospectively.

• Compare the year-one cost against what a redesign review would have taken. Takes 15 minutes. If the gap is more than $50K, you’ve already found the business case.

• Then multiply by every backfill your team approved this year.

Stop treating every vacancy like a hiring decision. Some of them are redesign decisions now. Some will be next quarter. The number is higher than most leaders think, and it grows every day. To be clear, you can’t automate every role to an agent. Nowhere close, but there’s more that’s possible today than most organisations have tested.

A $90K backfill costs closer to $160K in year one once you count recruitment, super, onboarding, and ramp time. The Australian HR Institute (AHRI) puts total replacement cost at 1.5x annual salary.

A New York court ruled in February 2026 that AI conversations aren’t automatically privileged. Daniel Kiley HWL Ebsworth confirmed in March 2026 the same reasoning applies in Australia.

The enterprise data, governance, and security conversation should be sorted by now. Most boards have it handled. API access, data retention off, private instances. IT has it, BUT legal exposure is a different conversation entirely.

Have you told AI things you’d never type in Slack? Board tensions. M&A thinking. Negotiation strategy before the call. Something a little more “creative”?

None of that breaks your data policy.

All of it could be subpoenaed.

Under Australian law, there’s no settled privilege protection for AI-generated threads. What you typed today could be read aloud in court tomorrow. For most Australian organisations now, your enterprise tier doesn’t change that.

The Gap

There’s a feeling most executives won’t say out loud: they’ve already used AI for exactly the things you’re not supposed to type into it. Why? It works. You get better thinking faster. Nobody sees it. It feels safe.

PwC’s 29th Global CEO Survey, released January 2026, found transforming fast enough for technological change, including AI, is the number one concern for Australian CEOs. The pressure to use AI is real and accelerating, but it’s accelerating into consumer tools, personal accounts, and free tiers, without any classification of what can and can’t go in. The prompts are accumulating as a legal record. The board hasn’t been told, there is a gap between “we have an enterprise AI policy” and “we’ve classified which prompts are privileged and which aren’t”.

Boards (most) assume IT has handled this. IT has handled the data security part. Nobody has read the paragraph that explains what happens when a court, a regulator, or a law enforcement agency asks your AI vendor for your prompts.

We reserve the right, at our sole discretion, to report information from or about you, including but not limited to Inputs, Outputs, or Actions to law enforcement.”

The terms reserve that right, no court order is specified as a precondition. No notice to you is required under these terms.

OpenAI (ChatGPT), consumer tier

“Government Authorities or Other Third Parties” section:

“We may share your Personal Data, including information about your interaction with our Services, with government authorities, industry peers, or other third parties... (i) if required to do so to comply with a legal obligation, or in the good faith belief that such action is necessary... (iii) if we determine, in our sole discretion, that there is a violation of our terms, policies, or the law.”

Multiple grounds to share your prompt data with government or third parties. Ground (iii), “in our sole discretion”, does not specify a court order as a precondition.

What Enterprise Contracts Fix:

OpenAI’s Business Terms and Microsoft’s Customer Data Protection Addendum contractually remove the training-on-inputs clause and restrict government disclosure to legally compelled requests only. That matters. It closes the vendor-disclosure door.

However it doesn’t create privilege, this requires a human lawyer in the loop. Enterprise contracts address data handling, not the separate question of legal professional privilege.

Your GC needs to confirm in writing which tools your organisation uses have contractual confidentiality clauses covering inputs.

Section 2. What Judge Rakoff ruled and why it’s directly relevant in Australia

On 17 February 2026, Judge Jed Rakoff of the Southern District of New York issued the first US ruling that AI-generated documents are not automatically protected by attorney-client privilege or work product doctrine.

The case was United States v. Heppner, No. 25-cr-00503-JSR. Bradley Heppner, a defendant under federal indictment, used the consumer version of Anthropic’s Claude to generate 31 documents after receiving a grand jury subpoena. The documents analysed his legal exposure and drafted defence arguments. He subsequently shared them with his lawyers and claimed privilege.

Rakoff rejected both claims.

Rakoff held recognised privileges require “a trusting human relationship” with “a licensed professional who owes fiduciary duties and is subject to discipline.” No AI platform meets that test. This leg has direct relevance regardless of jurisdiction, tier, vendor, or contract.

Leg 2. Consumer tools undermine confidentiality.

Rakoff found Heppner “could have had no reasonable expectation of confidentiality in his communications with Claude” because Anthropic’s consumer terms permit disclosure to governmental regulatory authorities and in “claims, disputes, or litigation.” Those are the exact clauses in Section 1.

Leg 3. Counsel didn’t direct the work.

Work product requires documents prepared “by or at the behest of counsel.” Heppner was acting “of his own volition.” His lawyers hadn’t asked him to use Claude. Work product didn’t attach.

The one door Rakoff left open:

If Heppner had been acting on counsel’s instructions, Claude could have functioned as a lawyer’s agent within the protection of privilege (Heppner memorandum at 7, citing the Kovel doctrine and United States v. Adlman, 68 F.3d 1495 (2d Cir. 1995)). But only assuming there had been confidentiality and Heppner was acting on instructions from his counsel. He wasn’t.

Enterprise tool with contractual confidentiality, plus a human lawyer directing the work. Is the only arguable safe zone.

The Australian position.

Heppner is a US decision. It isn’t binding in Australian courts, but its reasoning is directly applicable to how Australian courts are likely to approach the same question, and Australian legal practitioners have said so explicitly. Lander & Rogers published their analysis in March 2026. Partners Philip Aitken, Helen Sims, Matthew McMillan, Margaret Gigliotti, and Scott Traeger:

On advice privilege: “Advice and recommendations provided by an AI tool are therefore not protected by legal professional privilege.” Australian legal practice requires a current practising certificate. AI tools don’t have one. That pathway is effectively closed.

On litigation privilege: “If, however, there is no lawyer in the loop and the communications are occurring solely between client and AI, it is unlikely that the ‘professional legal services’ element will be met, meaning the communications will not be privileged.” There is no equivalent Australian case to Heppner yet.

Based on current Australian legal commentary, consumer AI prompts are unlikely to attract privilege.

Section 3. The Three-Layer Exposure Model

Australian organisations think they’re in Layer 3. I say most are Layer 2.

Layer 1: Consumer AI, no governance

Vendor terms permit training on your inputs by default. Vendor terms permit disclosure to law enforcement at their discretion, without specifying a court order as a precondition. Privilege is unlikely on both the advice and litigation tests. OAIC explicitly warns against putting sensitive personal information into publicly available AI tools.

This is claude.ai, chatgpt.com, gemini.google.com. Free accounts. Personal accounts. The ones your team logs into from their phones at 11pm.

Layer 2: Enterprise AI, no lawyer in the loop

Vendor can’t train on inputs, can’t disclose to government without legal compulsion. Still no privilege. Heppner Leg 1 remains relevant regardless of tier. Lander & Rogers: no lawyer in the loop means the “professional legal services” test is unlikely to be met, meaning no privilege.

This is where MOST Australian enterprises currently sit. Safer on data, not safe on privilege. The executive typing alone on a properly configured enterprise tool is still generating discoverable records of their thinking.

Layer 3: Enterprise AI, lawyer directing the work

Vendor contractual confidentiality. Lawyer directing the work, or client completing a task the lawyer assigned. Privilege is arguable under Heppner’s Kovel carve-out and Lander & Rogers Scenarios A and B.

This is the only configuration where privilege is a serious argument. It requires two things simultaneously: the right tool and a human lawyer in the loop. Most sensitive AI use cases in Australian organisations have neither.

Even if every employee in your organisation is on enterprise tools, almost none of your sensitive AI work is likely to attract privilege. It requires a lawyer in the loop.

Section 5. Five deliverables

Deliverable 1: The one-question GC audit (send today)

Send this to your General Counsel in writing:

“Which of our AI tools has a contractual confidentiality obligation covering inputs and explicitly restricts the vendor from discretionary government disclosure? I need the confirmed list in 48 hours, not a general answer.”

If they can’t produce it, that gap is your audit.

Deliverable 2: The prompt classification test (this week)

This generates a Red / Amber / Green classification for your organisation. Paste it, fill in the brackets, and the output is an AI input policy your GC can review and your exec team can follow.

- United States v. Heppner (S.D.N.Y. Feb 2026): consumer AI chats ruled not privileged. Enterprise tier fixes vendor disclosure but does not create privilege. Only lawyer-directed use creates privilege.
- Lander & Rogers (March 2026): "Advice and recommendations provided by an AI tool are not protected by legal professional privilege."

Classify each of the following prompt categories as:
- RED: Never type into any AI tool without legal counsel directing the work. Enterprise + lawyer only.
- AMBER: Enterprise tool required. No lawyer needed, but no sensitive names, numbers, or positions.
- GREEN: Any tool, unrestricted.

Categories to classify for our specific industry and risk profile:
1. Employment decisions (terminations, PIPs, restructures, selection criteria, named individuals)
2. Legal exposure, disputes, regulatory response
3. M&A strategy, negotiation positions, deal structures, counterparty tactics
4. Financial disclosures, guidance, investor communications
5. Board strategy, governance, board minute content, director liability
6. Content referencing named individuals or personal information
7. Competitive intelligence and market positioning
8. Customer or supplier contract negotiations
9. Internal restructuring and workforce planning
10. General research, drafting, analysis (no sensitive content)

For each category, produce:
- The classification (RED / AMBER / GREEN)
- One example prompt that falls in that category for our industry
- The litigation risk if that prompt were produced in discovery
- The rule: what conditions must be met before typing it

Format as a table suitable for executive distribution. Add a one-paragraph summary explaining the three layers and why enterprise alone doesn't equal privileged.

Deliverable 3: The ToS kill-shot test (this week)

Pull the terms of service for every AI tool your team uses. Search for three phrases:

1. “governmental regulatory authorities”

2. “claims, disputes, or litigation”

3. “improve our services” or “train our models”

Anthropic’s consumer terms contain all three (section 4 and section 12). OpenAI’s consumer terms contain equivalent language. If any appear in relation to user inputs, those prompts have weak confidentiality protection and a fragile privilege foundation at best. Your enterprise contract should expressly remove all three.

Deliverable 4: The board paper (before your next board meeting)

This generates a one-page briefing showing your board which risk categories hit your organisation hardest and explains the three-layer model.

The 2-minute version. Open your ChatGPT, Claude, or Gemini history. Search for these terms:

• “terminate” / “exit” / “fire” / “PIP” / “manage out”

• “disclose” / “ASX” / “board” / “minutes”

• “valuation” / “diligence” / “acquisition” / “bidder”

• “compliance” / “regulator” / “OAIC” / “delete”

• “exposure” / “liability” / “privilege” / “discoverable”

If anything comes back, was a lawyer directing that work?

If the answer is no, you’re at Layer 2. The prompt exists, it’s not privileged, and it’s one subpoena away from a courtroom.

• ChatGPT: Settings → Data Controls → Export Data. OpenAI emails you a zip file containing every conversation.

• Claude: Settings → Export Data. Anthropic emails you a download link.

• Gemini: Google Takeout (takeout.google.com) → select Gemini Apps.

Once you have the export, don’t review it alone. Share it with your legal team under privilege. Have counsel direct the review. That way the review itself is privileged, even if the original prompts aren’t.

How To Use This Newsletter As An AI Input

Upload this issue into Claude or ChatGPT Enterprise. Then type:

The Board Rule

Three categories never go into public AI.

No tool where your GC hasn’t confirmed contractual confidentiality over inputs in writing.

• Strategy: Negotiating position, deal structure, competitive response, board positions

• Liability: Legal exposure, regulatory response, dispute analysis

• Personnel: HR decisions, termination rationale, performance management, named individuals

Everything else is a judgement call. These three aren’t.

Australian Governance

⚠️ What Australian law already requires. Before you get to litigation.

Privacy Act 1988 (Cth), APPs 3, 6, and 11. OAIC confirmed in October 2024 that privacy obligations apply to both inputs into and outputs from commercially available AI products where personal information is involved. Sensitive information typed into consumer AI tools triggers collection (APP 3), use and disclosure (APP 6), and security (APP 11) obligations. The OAIC’s explicit guidance: organisations should not input sensitive personal information into publicly available AI tools.

APP 1.7, effective 10 December 2026. Passed as part of the Privacy and Other Legislation Amendment Act 2024 (Cth). From that date, APP entities must include in their privacy policy information about automated decision-making that uses personal information to make or substantially support decisions affecting an individual’s rights or interests. AI-assisted HR decisions. AI-assisted credit assessments. AI-assisted performance management. All captured.

Enforcement posture has changed. The OAIC launched its first-ever privacy compliance sweep in January 2026, reviewing 60 entities across six sectors for compliance with APP 1.4. It’s not AI-specific. But the same regulator, same Act, and same principles apply when AI inputs contain personal information. The Federal Court confirmed a $5.8 million penalty against Australian Clinical Labs in October 2025, the first civil penalty under the Privacy Act. Infringement notices are now available without needing to cross the old “serious interference” threshold.

The connection your board needs to understand: an OAIC enforcement action surfacing your AI inputs makes it much easier for plaintiff’s counsel to target discovery around the same prompts. One audit covers both fronts. Most organisations haven’t started either.

Closing

Your enterprise tier solved the vendor disclosure, not privilege - this is still open.

Three legs brought down Heppner’s claim: the AI wasn’t a lawyer, the consumer tool undermined confidentiality, and no lawyer had directed the work. Two of those three legs are directly relevant to every employee in your organisation using AI alone, regardless of tier.

The $5.8 million Federal Court penalty tells you the regulator is ready. The Heppner reasoning tells you courts will treat AI chats as evidence. Lander & Rogers tell you Australian privilege is unlikely to protect what your people typed privately.

Forward this to your General Counsel with one question: “Which of our AI tools has a contractual confidentiality clause covering inputs, and for which sensitive use cases do we have a lawyer directing the work?”
